Job summary

Ernst & Young in Bengaluru seeks an experienced lawyer to lead risk and contract reviews for the Consulting practice, focusing on quality governance and risk management across engagements.

You will draft, negotiate and finalise complex SOWs and commercial arrangements, liaise with internal functions, and ensure compliance with independence, data privacy and EY policies. Strong written and verbal English skills are essential.

Qualifications

  • Law Graduate/ LL.B with minimum of 10 years of relevant post-qualification experience.
  • Hands on experience in negotiating and finalising technology SOW and complex commercial arrangements.
  • Well-developed analytical, interpersonal, and communication (both verbal and written) skills in English.

Responsibilities

  • Act as a first point of contact for EY’s Consulting business in Quality matters and support the Quality team based in US in its advice to EY’s engagement partners and business teams on risk management issues.
  • Have a strong understanding of the scope of the SOW and the Services to be delivered and appreciation of key business risks that need to be managed (training will be facilitated in respect of EY’s specific risk management framework)
  • Conduct comprehensive end to end reviews of Statements of Work (SOWs), engagement terms and conditions, Inter Office Memos, Change Orders, attorney client privilege documents, and other ancillary contractual documents, identifying potential contractual, regulatory, independence, and delivery risks and highlighting them to engagement teams.
  • Identify and assess commercial, delivery, and compliance risks—including scope creep, non standard payment terms, margin erosion, third party performance, service permissibility, and change impacts—and advise deal and delivery teams on mitigation through clarifications, alternative structuring, governance improvements, and contractual protections.
  • Hands on experience in reviewing and negotiating complex commercial consulting services like Build Operate and Transfer (BOT), Managed Services, Application Management Services, Implementation of Artificial Intelligence based Services
  • Assist with creating, facilitating and delivering training to the Consulting business
  • Liaising with internal specialist functions including Independence, General Counsel’s Office and Risk Management
  • Excellent knowledge of negotiating technology contracts from a commercial perspective plus hands-on experience in complex transactions and technology Services
  • Providing commercial advice and guidance to stakeholders and end users regarding potential issues stemming from new and existing contracts.
  • Working with internal stakeholders to develop strategies to address issues identified.
  • Communicating progress, challenges, risks and benefits to appropriate management levels and affected business groups.
  • Understanding practice and business goals and how they impact the types of products and services procured.
  • Coordinating with cross functional teams (tax, GCO, information security, Deal enablement) as part of the contract finalisation process.
  • Ensuring that accurate and sufficient contractual documentation is developed to effectively document the commercial transactions and to protect EY’s interests.
  • Understanding the relevant EY policies the transactions and how contract drafting, negotiation and execution are impacted by those policies (Independence, Consulting, Data Privacy, etc.).
  • Ensuring that all contractual documents developed are compliant with EY policies.
  • Managing team’s workflow and propose process improvements, automations and efficiencies.
  • Maintaining an understanding of the impact of changes in EY policies, organizational structure, and procedures.
