Job summary

DESRI, based in Hyderabad, India, seeks an Analyst/Sr. Analyst in Legal & Compliance (Financing) to support project finance, including construction-to-term conversions, refinancings, and acquisitions across wind, solar, and storage projects.

You will review and negotiate credit agreements, security documents, LLC agreements, and related closing deliverables, coordinating with US-based teams and external lenders in a cross-border setting.

Qualifications

• Degree in law with 2–5 years of experience supporting project finance, mergers and acquisitions or corporate lending transactions.

Responsibilities

• Support financing transactions across the portfolio, including construction-to-term conversions, refinancings, acquisitions.
• Review, draft, and negotiate financing documents and ancillary deliverables such as credit agreements, equity capital contribution agreements, amendments, waivers, and consents under existing financing arrangements with lenders and internal stakeholders.
• Prepare closing checklists, certificates, resolutions, and conditions precedent packages for financing across development, construction, and operating phases of solar, wind, and storage projects.
• Review and negotiate pledge agreements, security agreements, mortgages/deeds of trust, collateral agency agreements, and UCC filing packages.
• Review partnership/LLC agreements, side letters, flip structures, and tax equity investor consent packages.
• Assemble and maintain closing bibles, signature pages, and post-closing deliverables trackers.

About the role

We are looking for a resourceful and driven professional to join DESRI, based out of the firm’s Hyderabad, India office. The successful candidate will be a part of a growing, inclusive, highly skilled team responsible for supporting DESRI’s portfolio of wind, solar and battery projects in an agile environment that values collaboration, thoughtful problem solving, and attention to detail.

What you'll do

In this role, you’ll support DESRI’s project finance workstream and partner closely with a dynamic commercial team. Working alongside deal teams, asset managers, lenders, tax equity and equity investors, and attorneys in other DESRI offices, you will:

• Support financing transactions across the portfolio, including construction-to-term conversions, refinancings, acquisitions.
• Review, draft, and negotiate financing documents and ancillary deliverables such as credit agreements, equity capital contribution agreements, amendments, waivers, and consents under existing financing arrangements (with debt, tax equity, and/or equity investors).
• Prepare closing checklists, certificates, resolutions, and conditions precedent packages that support each financing across the development, construction, and operating phases of our solar, wind, and storage projects.
• Review and negotiate pledge agreements, security agreements, mortgages/deeds of trust, collateral agency agreements, and UCC filing packages.

Qualifications

• Candidates should have a degree in law with a proven record of academic achievement and 2-5 years of experience supporting project finance, mergers and acquisitions or corporate lending transactions, including financing documentation and closing deliverables with lenders and internal stakeholders.
• Familiarity with credit agreements, security and collateral documents, partnership/LLC agreements, amendments, consents, and closing checklists, and comfort tracking conditions precedent across multiple concurrent closings.
• Strong attention to detail and ability to follow structured review guidelines and escalation protocols, with a demonstrated capacity for tracking multiple deliverables and compliance requirements across concurrent transactions .
• Proficiency in MS Word and Excel, with experience using legal technology tools, including AI-based platforms and document automation systems, or demonstrated willingness and aptitude to quickly learn such tools.
• Ability to work effectively with US-based legal, finance, and deal teams, and with external lenders and counsel, in a cross-border environment.
