EXL is seeking an Assistant General Counsel – Technology Transactions to lead complex technology, vendor, cloud, data, SaaS and software licensing negotiations across the enterprise. Serve as a trusted legal advisor to senior leaders, assessing contractual and reputational risks while enabling practical business outcomes.

The ideal candidate brings deep experience with sophisticated commercial agreements and the ability to operate independently in a fast-paced global environment.

Qualifications

• 7+ years of experience in corporate, technology, SaaS and software licensing matters.
• Excellent communication and listening skills; ability to convey complex issues to senior executives.
• Ability to work under limited supervision and manage projects.

Responsibilities

• Lead technology transaction negotiations across business units.
• Own and lead enterprise vendor contracting for cloud and data agreements.
• Ensure end‑to‑end contract implications are understood by business teams.
• Balance contract goals with legal, policy and reputational risks.
• Defend positions to business stakeholders and counterparties.
• Collaborate with in-house counsel as part of a larger team.
• Manage complex software licenses and MSAs with attention to detail.
