Responsibilities

  • Work with advisory lawyers on playbooks, checklists and guidance notes, reviewing and maintaining them.
  • Review marketing materials and contractual obligations; assist with privacy incidents.
  • Draft and review legal documents including NDAs, intercompany and amendment agreements; review market standard terms.
  • Prepare execution versions and coordinate signings using e-billing and settlement workflows.
  • Conduct preliminary legal research to support advice and recommendations; help develop AI legal agents.

Role:

We are looking to recruit a senior paralegal / paralegal to supporting Northern Trust’s EMEA asset servicing businesses. Reporting to the Assistant General Counsel in Ireland, the role will be based in Limerick. Northern Trust's legal department consists of approximately 90 lawyers worldwide, including approximately 30 lawyers located in EMEA. The key responsibilities of the role include: The successful candidate will provide legal support to Northern Trust’s asset servicing business across EMEA, with particular focus on fund services and global custody, including depositary, fund administration, investment operations and related ancillary services.

Principal responsibilities will include:

Working with advisory lawyers on the preparation of playbooks, checklists, guidance notes etc as well as their regular review and maintenance Privacy Incidents – assisting with the initial review of contractual obligations Review of marketing materials Drafting and reviewing certain legal documentation including: Non-disclosure agreements Intercompany Agreements Amendment Agreements (fees etc) Market standard product agreements/terms of business etc Preparing Execution versions of documents and using Docusign for the execution of documents and co-ordinating transaction signings Setting matters up in the E-billing platform and helping to manage invoices internally and with the law firms Conducting preliminary legal research as directed to support legal advice and recommendations Helping to develop and manage AI Legal agents The role holder will work closely with the Assistant General Counsels and other lawyers in the EMEA Asset Servicing team and liaising with other colleagues in the legal department (in EMEA, APAC and the US) to support Northern Trust’s asset servicing business globally in order to maintain a consistent approach to the policies of the bank in connection with the provision of the services.

Skills/Qualifications:

The successful candidate will benefit from having: Ideally the person will be a senior paralegal / paralegal who is currently working either in a reputable and recognised financial services practice at a law firm or a financial institution with asset management or asset servicing expertise. As the role offers breadth across depositary, fund administration, global custody and having exposure to one or more of these business would be advantageous. A person with:

  • strong integrity and an ethical sense;
  • strong commercial/pragmatic sense and understanding of business needs;
  • excellent written and verbal communication skills;
  • excellent inter-personal skills;
  • excellent organisational and analytical skills;

Detailed knowledge of market driven and regulatory initiatives that impact the fund management industry, depositary and/or custody offering across a range of jurisdictions/client types/asset classes. Strong contract drafting and negotiation skills across a broad suite of contracts and experience with working with advisory lawyers A self-starter who is flexible and able to work independently and has the ability to prioritise and work to set deadlines within a challenging environment. Strong commercial/pragmatic sense and understanding of business needs.
