• Bachelor's degree in law from a reputable university.

Responsibilities

• Oversee day-to-day corporate legal affairs, capital market compliance, contract governance, and dispute resolution.
• Coordinate mandatory public disclosures, periodic reporting, and regulatory filings for material and affiliated transactions.
• Support compliance risk assessments for business operations, procurement, financing activities, and corporate transactions.
• Prepare legal documentation for Annual and Extraordinary General Meetings (RUPS/GMS).
• Provide legal support for corporate actions including share issuances, bond offerings, restructurings, and dividends.
• Draft, review, and negotiate commercial, procurement, vendor, and employment contracts in Bahasa Indonesia and English.
• Maintain standardized legal templates and ensure contract governance across functions.

Client Overview

Our client is a publicly listed Indonesian construction and engineering company specializing in comprehensive engineering, procurement, and construction (EPC) services, including building construction, civil engineering, mechanical and electrical installation, and infrastructure development. The company has extensive experience supporting major industrial and commercial projects involving multinational and foreign investment companies across Indonesia.

As a public-listed company with strong cross-border business exposure, the organization operates within a highly regulated corporate and capital market environment. The company is seeking an experienced legal professional to strengthen its corporate legal, capital market compliance, contract governance, and dispute resolution functions.

Job Role

The Legal Manager will oversee the company's day-to-day corporate legal affairs, capital market compliance, contract management, corporate governance, and dispute resolution matters. Reporting to the Head of Legal and Board of Directors, this role will ensure that corporate activities remain aligned with applicable Indonesian Company Law, capital market regulations, OJK requirements, and IDX listing rules.

The position will also support corporate actions and GMS/RUPS execution, commercial contract negotiations, employment and industrial relations matters, regulatory monitoring, and coordination with external legal counsel and regulatory institutions. The ideal candidate has strong experience in a publicly listed company and is comfortable working across both strategic and operational legal matters.

Key Responsibilities

• Manage corporate legal and capital market compliance matters in accordance with Indonesian Company Law, capital market regulations, OJK requirements, and IDX listing rules.
• Coordinate mandatory public disclosures, periodic reporting, and legal compliance requirements relating to material and affiliated transactions.
• Support compliance risk assessments for business operations, procurement, financing activities, and corporate transactions.
• Prepare legal documentation, announcements, and administrative requirements for Annual and Extraordinary General Meetings of Shareholders (RUPS/GMS).
• Provide legal support for corporate actions, including share issuances, bond offerings, corporate restructurings, and dividend distributions.
• Draft, review, and negotiate commercial, procurement, vendor, employment, and other corporate agreements in Bahasa Indonesia and English.
• Maintain standardized legal templates and ensure appropriate contract governance across business functions.
• Manage contract records, legal documentation, corporate filings, and contractual compliance monitoring.
• Handle commercial, employment, and regulatory disputes through negotiation, mediation, and arbitration support.
• Oversee legal matters relating to PKWT, PKWTT, employment termination, and Industrial Relations Disputes (PHI).
• Coordinate with external legal counsel on litigation, arbitration, and other complex legal matters.
• Monitor developments in OJK/IDX regulations, employment law, foreign investment regulations, trade requirements, and construction-related licensing.
• Maintain professional relationships and coordinate legal matters with relevant regulatory and government institutions, notaries, and other external stakeholders.
• Provide legal advice and reporting to senior management and the Board of Directors on material corporate, contractual, regulatory, and risk matters.

Candidate Requirements

• Bachelor's Degree in Law (S1 Hukum) from a reputable university.
• Minimum 8 years of progressive legal experience, with significant experience in a publicly listed company (PT Tbk).
• Minimum 5 years of experience in a strategic or managerial legal capacity.
• Strong practical knowledge of Indonesian Company Law, Capital Market regulations, OJK requirements, and IDX listing rules.
• Hands-on experience with capital market compliance, public disclosures, and corporate governance matters.
• Experience supporting GMS/RUPS preparation and execution, corporate actions, and regulatory filings.
• Strong commercial contract drafting, review, and negotiation experience.
• Experience handling industrial relations matters, employment disputes, and PHI proceedings.
• Experience managing external legal counsel and supporting litigation, arbitration, or complex dispute resolution.
• Understanding of foreign investment (PMA), construction licensing, and other regulatory matters is highly advantageous.
• Professional fluency in English, both written and spoken, with the ability to handle legal drafting, executive reporting, and contract negotiations.
• Strong commercial awareness, analytical and presentation skills, integrity, and attention to detail.
• Able to work independently as a senior legal professional while effectively supporting management and coordinating with internal and external stakeholders.
