This is a strategic, high-impact role reporting directly to the Managing Director, with a key mandate to prepare and support the Company in executing major corporate actions, including Bond Issuance, IPO, refinancing, strategic investment and other capital market transactions.
Key Responsibilities
- Lead Corporate Secretary and Corporate Governance functions at an executive level.
- Drive the Company's readiness for Bond Issuance, IPO and other major Corporate Actions.
- Coordinate end-to-end transaction processes with Investment Banks, Underwriters, Legal Counsel, Auditors, Financial Advisors, Rating Agencies and other external advisors.
- Manage relationships and communication with OJK, IDX/BEI and other relevant stakeholders.
- Provide strategic support to the Managing Director and Board on corporate governance, capital market and corporate action matters.
- Lead Board/RUPS preparation, corporate resolutions, disclosure and governance documentation.
- Coordinate legal, financial, tax, commercial and operational due diligence.
- Strengthen investor readiness, corporate disclosure and stakeholder communication.
- Ensure effective execution of transaction timelines, regulatory requirements, risk mitigation and post-transaction obligations.
- Act as a trusted strategic advisor to senior management on governance, capital structure and corporate transactions.
We are looking for a transaction-oriented senior executive, not a purely administrative Corporate Secretary.
- Bachelor's degree in Law, Finance, Accounting, Business, Economics or related discipline; Master's/MBA preferred.
- 15+ years of professional experience, with at least 8 years in senior leadership roles.
- Proven experience in Corporate Secretary, Capital Market, Corporate Finance, Investment Banking, Corporate Development or Corporate Legal.
- Proven track record in at least one or more of: IPO, Bond Issuance, Rights Issue, M&A, Refinancing or other major Corporate Actions.
- Strong knowledge of OJK, BEI/IDX, corporate governance and Indonesian capital market regulations.
- Strong understanding of financial statements, capital structure, valuation and corporate finance.
- Experienced in managing senior external advisors and complex multi-party transactions.
- Excellent Board-level communication, negotiation, stakeholder management and project leadership skills.
- High integrity, discretion, confidentiality and strong business judgment.
