Description

The opportunity:

Drive the legal and integrity (ethics and compliance) functions for the company. Direct line report to the Head of Legal - Indonesia with dotted line report to Country Managing Director - Indonesia. Support the country management team and business in various legal matters and projects. Collaborate with other management team members across functions and Business Units. Deliver high-level strategic and tactical legal advice to the shareholders of the company’s joint venture partnerships.

How you’ll make an impact:

  • You will be providing strategic legal advice in all matters that are relevant for the business of the company in Indonesia and ensure that any corporate activities are supported with the highest standards of legal, professional ethics and compliant with the prevailing laws and regulations.

  • You will manage corporate and corporate secretarial work including organizing, preparing agendas, preparing circular resolutions for, and maintaining records of minutes of Board of Directors’ and Board of Commissioners’ Meetings and General Meetings of Shareholders and maintaining corporate statutory books, i.e., registers of shareholders and shareholders, directors, and commissioners’ resolutions.

  • You will be delivering regulatory and compliance advice and be a motivator and energizer for a strong culture of integrity, ethics, and compliance in the company and developing and implementing legal strategies, and through the collaboration with the organization’s Business Units and other functions provide strategic legal insight,potential riskexposure, and mitigationplans ofany significant legal and regulatory developments to the management.

  • You will be delivering business-oriented solutions and legal advice to the company’s high-level management, joint venture partner and facilitate the achievement of business goals and objectives and developing/reviewing and streamlining processes required for legal review and approval of transactions.

  • You will provide relevant and practical advice to all Business Units, various functions, country management, through a good understanding of business processes and participate actively in the development of cross-border collaboration of the Global Legal & Integrity team.

  • You will support and implement company-wide policies, procedures, and standard contracts/agreements in line with the applicable country’s jurisdiction and monitor emerging legislation and regulation and advise the company of regulatory developments.

  • You will be organizing Code of Conduct, Ethics and Integrity training for all employees at the country level, developing and maintaining through the organization’s learning network system in daily basis and set up, mature, and ensure alignment with the global organization framework.

  • You will be working closely with Office ofSpecialinvestigations,a function oftheintegrity global teamon any allegations/reported issues on a case-by-case basis and managing external legal counsel on specific projects and day-to-day country specific operational activities, in regulatory enforcement or litigation matters.

  • You will be responsible to ensure compliance with applicable external and internal regulations, procedures, and guidelines.

Your background:

  • You hold a degree in Law.

  • Minimum 7 years PQE and legal experience gained as in-house lawyer or with a reputable commercial law firm.

  • Experience in providing legal counsel within a commercial business environment, JV and international commercial contracting matters.

  • Adept at stakeholder management, established legal / contract analytical skills with a good eye for detail and sound knowledge of general corporate and contract law.

  • Strong interpersonal and communication skills.
