Job summary

Michael Page International (HK) Ltd is seeking a Hong Kong-qualified corporate associate at the NQ to 2 PQE level for a mixed practice covering both public and private M&A, IPOs, and ongoing listing rules compliance.

The role focuses on executing M&A transactions, coordinating due diligence, drafting SPAs and SHAs, and managing closing procedures, with additional involvement in HK IPOs and regulatory filings. Strong language skills in English and Chinese are essential.

Qualifications

• Qualified lawyer admitted in Hong Kong or pending admission
• Exposure to training rotations in corporate seats
• Fluent written and spoken English and Chinese (Cantonese & Mandarin) required

Responsibilities

• Assist in private and public M&A deals, including due diligence coordination and drafting of transaction documents (SPAs, SHA), and manage closing procedures.
• Support HK IPOs, drafting prospectuses and advising on restructuring and regulatory filings.
• Provide ongoing corporate advice on Listing Rules, Takeovers Code and SFO for HKEX-listed companies.
• Draft and review board resolutions, minutes and announcements for corporate governance and general commercial matters.

Our client is seeking a Hong Kong-qualified lawyer for a mixed corporate associate position, ideally suited for candidates ranging from the NQ level to 2 years PQE. This role offers a diverse practice focus, encompassing both public and private M&A transactions, IPOs, and ongoing listing rules compliance.

Description

M&A Transactions: Assist in the execution of private and public M&A deals, including due diligence coordination, drafting of transaction documents (SPAs, Shareholders' Agreements), and managing closing procedures.

Equity Capital Markets: Support the team on Hong Kong IPOs, representing either the issuer or the underwriters. Responsibilities include drafting prospectuses, advising on restructuring, and managing regulatory filings.

Listing Rules & Compliance: Provide ongoing legal advice to HKEX-listed companies regarding the Listing Rules, Takeovers Code, and SFO.

Corporate Governance: Draft and review board resolutions, minutes, and announcements; advise on general corporate and commercial matters.
