Chiho Environmental Group Limited seeks an experienced in-house counsel to manage day-to-day legal affairs for the Group and its subsidiaries in Hong Kong and Mainland China.
You will draft and negotiate a broad range of commercial agreements, advise on regulatory compliance and governance, and support corporate transactions, reporting to senior management.
Lead and manage the day-to-day legal affairs of the Group and its subsidiaries in Hong Kong and mainland China
Draft, review, and negotiate a wide range of commercial contracts, including sale and purchase agreements, service agreements, joint venture agreements, and lease agreements
Advise senior management on legal risks, regulatory compliance, and corporate governance matters
Ensure compliance with HKEX Listing Rules, the Companies Ordinance, and other applicable Hong Kong and PRC laws and regulations
Support corporate transactions, including mergers and acquisitions, restructurings, financing arrangements, and connected transactions
Manage relationships with external legal counsel, auditors, company secretaries, and regulatory bodies in Hong Kong and mainland China
Assist in handling disputes, claims, and litigation matters, liaising with external counsel as necessary
Provide legal training and guidance to internal stakeholders to promote legal risk awareness across the organisation
Support the preparation of board papers, announcements, and circulars in compliance with listing requirements
Handle ad hoc legal projects and provide practical, business-oriented legal solutions
Requirements
Bachelor's degree in Law; qualified lawyer/solicitor in Hong Kong is required
Minimum 8 years of relevant legal experience, with solid in-house experience gained at a listed company preferred
Strong knowledge of HKEX Listing Rules, Companies Ordinance, and general corporate/commercial law
Proven experience in drafting and negotiating commercial contracts and handling corporate transactions
Familiarity with PRC laws and regulations, or experience supporting mainland China subsidiaries/operations, is a strong advantage
Excellent command of written and spoken English and Chinese, ability to draft legal documents in both English and Chinese
Strong business acumen, analytical thinking, and problem-solving skills with keen attention to detail
Excellent interpersonal and communication skills, with the ability to liaise effectively across all levels of the organisation and with external parties
Occasional travel to mainland China offices may be required
