Randstad Hong Kong Limited is recruiting a Banking & Finance Associate (2–4 PQE) for a premier international law firm in Hong Kong. The role focuses on cross-border syndicated lending, acquisition finance, and pre-IPO debt transactions, offering tier-one deal exposure and clear career progression.

You will draft and negotiate loan documentation, manage transactions from start to finish, advise on regulatory compliance in HK/PRC, and mentor junior lawyers while contributing to business

Qualifications

• Qualified Hong Kong solicitor or in a recognized Common Law jurisdiction.
• 2–4 PQE in banking, syndicated lending, and debt finance.
• Proficiency in English and Chinese (Mandarin/Cantonese).
• Strong drafting and analytical skills.

Responsibilities

• Structure, draft, and negotiate loan documentation for syndicated loans, facilities, acquisition finance, real estate finance, and pre-IPO debt investments.
• Manage loan transactions from inception to closing, including facility agreements, security packages, and related documents.
• Advise on regulatory compliance, cross-border security perfection, and exchange control matters in HK and Mainland China.
• Coordinate cross-border due diligence and CP satisfaction with overseas counsel.
• Supervise and mentor junior associates while supporting business development and client relationships.

• Structure, draft, and negotiate documentation for syndicated loans, bilateral credit facilities, acquisition financing, real estate finance, and pre-IPO debt investments using APLMA and LMA frameworks.

• Manage loan transactions from inception through closing, including drafting facility agreements, security packages, intercreditor deeds, legal opinions, and corporate approvals.

• Advise leading financial institutions and borrowers on regulatory compliance, cross-border security perfection, and exchange control matters in Hong Kong and Mainland China.

• Coordinate cross-border legal due diligence, manage condition precedent (CP) satisfaction processes, and liaise with overseas counsel.

• Supervise and mentor junior associates and trainees while supporting business development initiatives and client relationship management.

skills & experience required.

• Qualified solicitor in Hong Kong or a recognized Common Law jurisdiction (e.g., England & Wales, Australia).

• 2 to 4 years of post-qualification experience (PQE) focused on banking, syndicated lending, and debt finance transactions gained at a reputable international or leading regional law firm.

• In-depth knowledge of standard loan documentation, including APLMA facility agreements, cross-border security creation, and perfection mechanics.

• Fluency in written and spoken Chinese (Mandarin and/or Cantonese) and English is required to draft legal documentation and liaise with regional corporate clients.

• Strong academic credentials, robust analytical drafting skills, and excellent commercial acumen.
