Job Overview:
We are seeking a highly motivated Senior Manager, Contracts and Corporate Governance to manage contract and governance matters. This role works closely with the General Counsel and provides an opportunity for future leadership, potentially overseeing one direct report as the company grows.
Key Responsibilities:
- Collaborate with the General Counsel on contract and corporate governance matters.
- Review, analyze, and provide feedback on various commercial agreements (e.g., master services agreements, consulting agreements, NDAs, vendor contracts).
- Identify and mitigate legal risks in contracts and ensure internal approvals are obtained before finalizing agreements.
- Oversee the Delegation of Approval Authorities (DOAA) and manage document signatures via e-signature platforms (DocuSign).
- Work with internal departments (e.g., Business Development, IT, Finance) and external parties during contract negotiations.
- Develop and manage the legal contract database using contract lifecycle management systems (e.g., IntelAgree).
- Track key contract dates and manage the insurance program.
- Support corporate record-keeping, regulatory filings, and legal requests (e.g., subpoenas, discovery).
- Advise on corporate governance best practices and implement process improvements.
- Potential for future leadership, including managing a remote team.
Desired Background:
- Bachelor’s degree in applied science, business administration, pre-law, or related field.
- 7-10 years of experience in legal, contract administration, or corporate governance.
- Experience with energy transactional documents is a plus.
Skills & Abilities:
- Strong communication skills and ability to work in a fast-paced, collaborative environment.
- Proficiency in Microsoft Office Suite and contract management systems (preferably IntelAgree).
- Strong organizational skills with the ability to manage multiple tasks under tight deadlines.
- Ability to work independently and as part of a team.
