Role Purpose:
- This role is within the Legal department, contributing to the company's success by ensuring compliance with all relevant laws and regulations.
- Advising on transactions and corporate governance, focusing on corporate/shareholder transactions, reinsurance agreements, and collateral arrangements.
- Providing strategic advice on insurance regulatory compliance, risk management, and reputational issues.
- Collaborating with external counsel and internal teams to review legal documents and uphold governance standards.
- Supporting the Company Secretariat in providing advice and support to the Board.
- Assisting the General Counsel and Deputy General Counsel in advising the Group.
Responsibilities of Senior Legal Counsel (Corporate and Reinsurance):
- Providing strategic advice on corporate transactions at the group level.
- Advising on reinsurance agreements, collateral structures, and liaising with stakeholders and counsel.
- Guiding on the Group’s constitutional arrangements with shareholders.
- Supporting corporate governance and Board/Committee functions.
- Reviewing contracts, including NDAs, bulk annuities, outsourcing, and investment agreements.
- Collaborating with team members and managing the PIC Legal Panel.
- Owning personal development in technical and non-technical legal skills.
- Staying informed on industry trends, market developments, and regulatory changes through seminars, reading, and sharing insights.
Knowledge:
- Proficiency in corporate law and governance within a regulatory context.
- Knowledge of PRA Rulebook and FCA Handbook.
- Understanding of Solvency II/UK Solvency regulations.
- Familiarity with the Companies Act 2006.
Skills:
- Applying legal expertise with commercial judgment.
- Strong organizational and communication skills.
- Persuasive and influential abilities.
- Ability to work within procedural guidelines.
- Proficiency with MS Access, PowerPoint, and Word.
Experience:
- Significant post-qualification experience in corporate law, preferably in private practice.
- Experience advising on M&A, shareholder arrangements, longevity swaps, and collateral structures.
- Experience working with senior stakeholders.
- Knowledge of UK capital markets (debt and equity) is preferred.
