Job Description:

This international infrastructure development organisation is looking for a qualified Senior Assistant Company Secretary to join their London team.

Reporting to the Company Secretary, this role will involve the delivery of exceptional company secretarial services to the organisation and their subsidiaries. This includes effective management of legal entities and ensuring the highest corporate governance standards.

Responsibilities:
  • Support the Group company Boards and Board committees, providing professional company secretarial services, including agenda planning, report preparation, distribution of meeting packs, minute taking, liaising with Board and Committee members, and management of actions.
  • Contribute to the production of the Annual Report and Accounts and the development of the governance section of the Annual Report.
  • Oversee the maintenance of the statutory books and records and ensure the statutory compliance of legal entities.
  • Liaise with external providers of company secretarial services for companies incorporated in foreign jurisdictions (Mauritius, Kenya, Singapore, and Morocco).
  • Lead and support key governance projects, such as the internal governance effectiveness review, the development of a company secretarial procedures manual, and external governance reporting.
Key Skills and Experience:
  • 8+ years company secretarial experience, ideally within a financial services or an infrastructure company, or an organisation that is multi-jurisdictional.
  • Previous experience with board support software (ideally Diligent).
  • Strong board support and minute writing experience is essential for this role.
  • GradCG or ACG qualified.

Hybrid working is currently 2 - 3 days per week in London.
