Role Description for Independent Non-Executive Director (INED) at BADU Community CIC - Fundraising & Grant Writing
Position Title: Independent Non-Executive Director (INED)
Reports To: Board of Directors, BADU Community CIC
Purpose:
The Independent Non-Executive Director (INED) will provide independent oversight and strategic direction to the Board of Directors at BADU Community CIC. With a strong belief in the organisation's mission, the INED will contribute to shaping the future growth and impact of the organisation, focusing on community empowerment, social innovation, and systemic change. The INED will bring specific expertise in fundraising and grant writing and will work collaboratively with fellow board members, offering objective scrutiny, constructive challenge, and sound advice drawn from diverse professional and personal experiences.
Key Responsibilities:
Governance & Oversight:
- Provide independent and objective scrutiny of the board's decisions and activities.
- Offer a fresh, external perspective that enhances strategic decision-making.
- Ensure the board operates effectively and in accordance with legal, ethical, and regulatory requirements.
- Contribute to setting the strategic direction of BADU Community CIC, ensuring the mission, vision, and values are upheld.
Strategic Leadership & Planning:
- Participate in long-term strategic planning, identifying new opportunities, potential risks, and innovative approaches to achieve the organisation's objectives.
- Guide discussions on growth strategy, financial sustainability, and impact maximisation.
- Oversee the CEO succession planning and talent development strategy.
Risk & Compliance Management:
- Contribute to the development and implementation of robust risk management policies and practices.
- Ensure that the organisation adheres to governance best practices and maintains legal compliance.
Financial Stewardship:
- Provide expertise in financial governance, ensuring the organisation's financial practices remain transparent, accountable, and sustainable.
- Offer input on budget reviews, fundraising strategies, and financial forecasting.
- Provide expert guidance on fundraising strategies, ensuring the organisation has a diversified and sustainable funding base, including grants, corporate partnerships, and individual donations.
- Support the development of a long-term fundraising strategy to enhance the financial sustainability of the organisation.
Community & Stakeholder Engagement:
- Actively support BADU's community-oriented mission by leveraging networks and affiliations to build relationships and promote positive impact.
Marketing & Communications:
- Contribute to the development and execution of marketing, PR, and fundraising strategies to raise awareness of BADU's initiatives.
- Champion the organisation's visibility and advocacy, with a focus on its core mission and broader societal impact.
Continuous Learning & Development:
- Commit to understanding the business of the organisation, remaining up-to-date on key developments in the industry and governance practices.
- Participate in an effective induction process and ongoing professional development to remain effective in the role.
Skills & Experience Required:
Required Skills:
1. A strong belief in and commitment to the mission and values of BADU Community CIC.
2. Experience in a leadership or governance role, ideally within non-profit, sports, or community-focused organisations, though prior board membership is not required.
3. Proven expertise in fundraising, including experience with major donor development, corporate partnerships, and grant writing.
4. Proven track record in bid writing to secure funding from diverse sources (e.g., philanthropic foundations, government grants, corporate sponsors, individual donors), demonstrating expertise in developing successful proposals and securing financial support.

Commitment & Expectations:
- The INED must be able to dedicate sufficient time to board meetings, subcommittee work, and any additional duties as required.
- INEDs are expected to bring independent judgment and challenge to the decision-making process, and to contribute to a culture of constructive criticism and transparent governance.
- Periodic reviews of board composition, including the appropriate level of independent directors, will be conducted to ensure effective governance and alignment with best practices.
Independence:
- The role requires independence of thought and judgment, as outlined by the Sport England Tier 3 guidance on governance.
- As an Independent Non-Executive Director, you will be expected to maintain an independent perspective, providing objective challenge and oversight, while also upholding confidentiality and the best interests of BADU Community CIC.
