Corporate Development Manager – Strategic Transactions & Capital Markets
This is a high-impact, transaction-facing role at the core of the firm’s capital deployment agenda. Reporting directly into senior leadership, you will lead the execution of structured financings, group-level equity raises, and targeted M&A transactions across key European markets. With a remit that spans project finance, capital structuring, and inorganic expansion, this role is ideally suited to a commercially driven transaction professional with deep infrastructure exposure and a strong financial toolkit.
You will operate cross-functionally with internal leadership and external capital partners—owning the full deal lifecycle and playing a key role in scaling a new generation of energy assets.
Key Responsibilities
- Project Finance & Capital Structuring | Structure and execute non-recourse project-level financings and HoldCo facilities to support greenfield and operational asset development. Model capital stack scenarios, size debt facilities, and lead negotiations with banks and institutional lenders.
- Equity Capital Formation | Support group- and asset-level equity raises through modelling, return analysis, and scenario testing. Prepare investor materials and liaise with financial advisors to optimise terms and alignment with platform objectives.
- Inorganic Growth Execution | Identify and execute bolt-on acquisitions, JV opportunities, and strategic partnerships across core and adjacent markets. Manage deal structuring, due diligence coordination, and execution alongside legal, technical, and commercial advisors.
- Transaction Leadership | Act as deal lead across capital markets and M&A processes, ensuring alignment across legal, financial, and operational stakeholders. Own investment case preparation and internal approval processes through to board submission.
- Strategic & Financial Analysis | Build and maintain high-integrity financial models for deal evaluation, capital structuring, and portfolio scenario planning. Drive analytical insight across risk-return trade-offs, capital allocation, and asset-level economics.
- Stakeholder Engagement | Interface with lenders, investors, advisors, and internal executives to drive transaction success. Support investor dialogue with data-backed narratives and clear, credible communication.
Candidate Profile
- Experience | 4–7 years in infrastructure M&A, project finance, corporate development, or principal investing. Background in investment banking, PE, debt advisory, or in-house transaction teams preferred.
- Transaction Track Record | Demonstrated experience across full deal lifecycle—evaluation, structuring, documentation, and execution—within energy or infrastructure contexts.
- Capital Structuring Acumen | Strong understanding of capital stack mechanics, risk allocation, and project-level debt financing. Experience with non-recourse transactions is a strong advantage.
- Modelling & Analysis | Advanced financial modelling skills with the ability to translate complex datasets into actionable insight. Familiar with pricing risk, WACC dynamics, and sensitivities.
- Communication & Leadership | Effective communicator with confidence to engage at senior levels—internal and external. Comfortable presenting to boards, investors, and counterparties.
- Commercial Orientation | Entrepreneurial, commercially sharp, and intellectually curious—capable of identifying and pursuing value-accretive opportunities independently.
- Education | Degree in Finance, Economics, Engineering, or a related field; additional qualifications (e.g. CFA, ACA, MBA) are a plus.
