Job summary

Angove Partners, working with a London-based insurer, seeks an M&A lawyer to underwrite W&I insurance for M&A transactions and manage the insurance process alongside private equity firms, corporates, lawyers, and insurers.

You will review wordings, draft endorsements, and advise underwriters on wording risk. The role involves stress-testing scenarios and maintaining precedent clauses for W&I coverage, in a fast-paced environment.

Qualifications

• 2-7 years experience working as an M&A lawyer for a reputable law firm.
• Strong understanding of deal processes and transaction dynamics.
• Commercial mindset with excellent negotiation skills.
• Ability to manage multiple deals in a fast-paced environment.
• Strong communication and stakeholder management skills.

Responsibilities

• Reviewing and negotiating W&I insurance policy wordings.
• Responding to insured counsel comments and proposed amendments to policy language
• Drafting bespoke endorsements, exclusions, limitations, and W&I-specific coverage provisions
• Advising underwriters internally on wording risk and legal interpretation issue
• Stress-testing wording against potential claims scenarios and litigation outcomes
• Helping maintain and update precedent wordings, clause libraries, and internal knowledge resources
• Working closely with W&I underwriters and claims teams on complex technical points
• Assessing whether requested wording changes materially alter the insurer’s risk position
• Analysing transaction documents (SPAs, disclosure letters, tax deeds, structuring memos)
