JOB TITLE: LEGAL DIRECTOR
KEY RESPONSIBILITIES:
- Providing strategic legal support to the Group on all corporate matters and being the trusted legal business partner to the CFO, key finance teams, and the Group Company Secretary.
- Advising on the management of group financing arrangements and providing high-quality input on financing solutions.
- Advising on the management of & compliance with debt & equity capital markets issuances.
- Supporting the leadership of the Finance function as a trusted adviser and business partner.
- Advising on corporate matters including intra-group security, listing rules compliance, and governance issues for Petrofac Limited, listed on the London main market and incorporated in Jersey.
- Leading legal thinking on complex corporate litigation and dispute resolution.
- Providing legal support on shareholder management, interacting with external counsel, auditors, FCA, and other regulators.
- Supporting business growth through due diligence, transactional structures, and execution of new corporate opportunities.
- Assessing legal risks proactively and working with management on systems and solutions to manage risks and achieve objectives.
- Providing strategic guidance on global legal work and ad hoc projects.
- Managing external legal resources efficiently, including instructing external counsel on non-routine issues.
- Supporting compliance with group standards on anti-bribery, corruption, diligence, and governance.
- Developing and updating policies, procedures, training, and guidance.
- Optimizing external legal spend through negotiations and performance monitoring.
- Managing internal billing approvals and supporting audit processes.
- Having significant experience in commercial legal advice on complex issues, exercising sound judgment to identify critical risks and opportunities.
- Being highly commercial, resilient, pragmatic, and hands-on, with the ability to prioritize critical issues.
ESSENTIAL QUALIFICATIONS AND SKILLS:
- Qualified lawyer (solicitor/barrister) with UK or equivalent common law practice admission.
- Minimum years PQE, with experience in an in-house environment preferred.
- Experience advising on complex financial arrangements and leading legal workstreams on significant transactions.
- Understanding governance processes for UK entities, including incorporation, capital management, reporting, and funding.
- Experience supporting finance functions with reporting, tax, and treasury transactions.
- Experience managing corporate disputes, including litigation phases.
