JOB TITLE: LEGAL DIRECTOR

KEY RESPONSIBILITIES:

  1. Providing strategic legal support to the Group on all corporate matters and being the trusted legal business partner to the CFO, key finance teams, and the Group Company Secretary.
  2. Advising on the management of group financing arrangements and providing high-quality input on financing solutions.
  3. Advising on the management of & compliance with debt & equity capital markets issuances.
  4. Supporting the leadership of the Finance function as a trusted adviser and business partner.
  5. Advising on corporate matters including intra-group security, listing rules compliance, and governance issues for Petrofac Limited, listed on the London main market and incorporated in Jersey.
  6. Leading legal thinking on complex corporate litigation and dispute resolution.
  7. Providing legal support on shareholder management, interacting with external counsel, auditors, FCA, and other regulators.
  8. Supporting business growth through due diligence, transactional structures, and execution of new corporate opportunities.
  9. Assessing legal risks proactively and working with management on systems and solutions to manage risks and achieve objectives.
  10. Providing strategic guidance on global legal work and ad hoc projects.
  11. Managing external legal resources efficiently, including instructing external counsel on non-routine issues.
  12. Supporting compliance with group standards on anti-bribery, corruption, diligence, and governance.
  13. Developing and updating policies, procedures, training, and guidance.
  14. Optimizing external legal spend through negotiations and performance monitoring.
  15. Managing internal billing approvals and supporting audit processes.
  16. Having significant experience in commercial legal advice on complex issues, exercising sound judgment to identify critical risks and opportunities.
  17. Being highly commercial, resilient, pragmatic, and hands-on, with the ability to prioritize critical issues.

ESSENTIAL QUALIFICATIONS AND SKILLS:

  1. Qualified lawyer (solicitor/barrister) with UK or equivalent common law practice admission.
  2. Minimum years PQE, with experience in an in-house environment preferred.
  3. Experience advising on complex financial arrangements and leading legal workstreams on significant transactions.
  4. Understanding governance processes for UK entities, including incorporation, capital management, reporting, and funding.
  5. Experience supporting finance functions with reporting, tax, and treasury transactions.
  6. Experience managing corporate disputes, including litigation phases.
