Job summary

Halliford Partners in London is seeking a proactive Legal Counsel to join its Legal & Compliance team. You will support the global business across five operating countries, reporting to the General Counsel and Compliance Manager, and counsel on a wide range of contracts and regulatory matters.

Key duties include drafting, reviewing and negotiating client and vendor contracts, NDAs, corporate governance, fund marketing, and interacting with external counsel.

Qualifications

• Qualified lawyer in England & Wales or New York.
• 3-5 PQE (indicative).
• Background in funds, financial services regulatory or private equity preferred.

Responsibilities

• Draft, review, and negotiate client and partner engagement letters, NDAs, contracts and employment agreements.
• Provide legal support for corporate activities and fund marketing.
• Liaise with external litigation counsel when needed and monitor progress.
• Support HR on employee relations matters.
• Assist with group company secretarial activities and governance.
• Develop and maintain legal precedents and templates.

Role Overview

They are looking for an enthusiastic, diligent, and hardworking Legal Counsel to join their London office within their Legal & Compliance team.

Working alongside the General Counsel and Compliance Manager in a team of three, the role will encompass all aspects of legal support for the global business across five operating countries.

The ideal candidate will have a naturally high attention to detail and approach all interactions (both internal and external) with professionalism, maturity, and a commercial can-do attitude.

REPORTING TO: General Counsel and Chief Compliance Officer

Key Responsibilities

The role will have a wide-ranging mandate, assisting the General Counsel on delivery of full legal support across the global business.

Some of the key responsibilities include the following:

• Drafting, reviewing, and negotiating client / GP engagement letters, NDAs, commercial contracts, supplier contracts, intercompany agreements, leases, and employment-related agreements
• Providing legal support for corporate activities
• Providing legal advice in connection with fund marketing
• Engaging with external litigation counsel on the rare dispute - briefing, monitoring progress, reporting internally
• Providing legal support to the HR team on employee relations matters
• Providing legal support in connection with their investment platform, including fund subscriptions, structuring, and documentation
• Supporting the General Counsel with group company secretarial activities, including attendance at board and committee meetings
• Providing legal support on risk and governance matters across the group
• Ad hoc legal research and input to support the General Counsel
• Development and maintenance of legal precedents and templates
• Supporting and delivering legal training (induction, regular training sessions for the business, etc)
• Clear desire to work in-house in a wide ranging, challenging and varied role
• Fast learner with ability to demonstrate initiative
• Trust and integrity essential to the role
• Strong contract drafting and negotiation skills, practical and business-focused

• Good judgment on escalation

Experience

• Qualified lawyer in England & Wales or New York
• 3-5 PQE (indicative only)
• Background either in private practice (funds, financial services regulatory or private equity experience preferred) or in-house at a financial services firm
