Seedrs has now evolved into Republic Europe, which operates the European arm of Republic’s global ecosystem—a collection of financial services including a Digital Merchant Bank, a Global Equities Marketplace, and a Capitalization Team.

We are looking for a Legal and Investment Associate to join our team.

What you'll do:

1. Take ownership of our UK pipeline of deals and play a key part in guiding startups through our funding process, from pre-launch to closing after successful campaigns.
2. Negotiate bespoke equity documentation for startups raising investment through Republic Europe, including shareholder and subscription agreements, articles of association, and convertible loan agreements, aligning with Republic Europe's minimum investment terms.
3. Support our Investment and Sales teams with commercial and legal queries from startups seeking investment through Republic Europe.
4. Liaise with entrepreneurs and their legal counsel regularly.
5. Develop an understanding of fundraising via Republic Europe, including equity crowdfunding, Web3 tokenisation products, and relevant regulatory frameworks.

What we're looking for:

• A qualified lawyer with at least 2 years PQE, preferably with venture capital or corporate transactional experience, comfortable working across jurisdictions.
• A genuine passion for entrepreneurship, innovation, and Web3.
• Solid understanding of early-stage investment space.
• A proactive, analytical thinker capable of pragmatic deal structuring and operational improvements.
• Strong organizational and time management skills.
• Excellent interpersonal and communication skills, with the ability to explain complex legal concepts clearly.
