Job description

Join LGPS Central at a pivotal moment, where investment meets long term impact.

The Governance Officer supports the effective and efficient delivery of Governance services across LGPS Central, working under the direction of the Governance Manager.

The role has ownership of allocated governance administration and coordination, including meeting cycles, papers, minutes, actions, governance records, statutory information and governance systems. The postholder is expected to deliver these responsibilities accurately, reliably and with appropriate professional judgement.

The Governance Officer also contributes to the Governance team's developing advisory service by applying agreed governance requirements, supporting paper authors and stakeholders, identifying procedural or quality issues and escalating matters outside agreed parameters.

The role focuses on governance processes, records, controls and decision-making support.

What you'll be doing:
Governance Meeting & Committee Support
  • Manage end-to-end meeting cycles for allocated Boards and Committees, including forward plans, agendas, meeting papers, invitations and logistics.
  • Prepare meeting materials, attend meetings, take accurate notes and draft high-quality minutes.
  • Maintain action logs, track progress and ensure decisions, approvals and records are accurately captured and communicated.
Governance Advice & Administration
  • Review governance papers against agreed templates, processes and approval requirements.
  • Provide practical guidance to stakeholders on governance timetables, meeting processes and paper submissions.
  • Identify opportunities to improve governance guidance, templates and processes.
Governance Records & Reporting
  • Maintain accurate governance records, including agendas, minutes, action logs, decision records and attendance information.
  • Manage governance calendars, trackers, committee information and document control processes.
  • Support management reporting, governance MI and assurance activities, escalating risks, delays or compliance concerns when required.
Company Secretarial Support
  • Assist with statutory registers, Companies House filings and corporate record management.
  • Support Board and shareholder approval processes, director appointments, inductions and conflicts management.
  • Maintain schedules for statutory and corporate obligations.
  • Act as a point of contact for Shareholder Representatives and manage the Shareholder Services inbox.
  • Support shareholder meetings, communications and information requests.
  • Build effective relationships with colleagues and stakeholders across the business.
Governance Systems & Continuous Improvement
  • Administer board portals, governance systems, document repositories and governance trackers.
  • Ensure confidential information is handled securely and in line with data protection requirements.
  • Support governance effectiveness reviews and contribute to continuous improvements in governance processes, technology and stakeholder experience.
Team Support
  • Work collaboratively across Governance, Legal and wider business teams, providing cover and support where required.
  • Assist with supplier administration, including purchase orders, invoices and contract records.
  • Contribute to a professional, inclusive and service-focused team culture whilst continuing to develop your governance and company secretarial knowledge.

Requirements
  • Experience of governance, committee, company secretarial, legal operations, regulated administration or a comparable controlled business environment.
  • Experience coordinating formal meetings, papers, deadlines, actions and records.
  • Ability to draft clear, accurate and proportionate minutes and correspondence.
  • Excellent organisation, attention to detail and ability to manage competing priorities and fixed deadlines.
  • Ability to apply established procedures, templates and controls consistently while recognising when to seek guidance or escal.
  • Strong written and verbal communication and confidence working professionally with senior stakeholders.
  • High standards of integrity, discretion and confidentiality when handling sensitive information.
  • Understanding of accurate record keeping, audit trails, version control, document classification and controlled access.
  • Proactive, collaborative and service-focused approach, with ownership of allocated tasks and outcomes.
  • Ability to identify administrative, procedural or quality issues and work constructively with colleagues to resolve them.
  • Competence in Microsoft 365, including Word, Outlook, PowerPoint, Excel, Teams and SharePoint, and ability to learn board portal or governance systems.
  • Interest in developing governance and company secretarial knowledge within a regulated investment management business.
  • Experience in financial services, investment management, pensions, asset management, the LGPS or another regulated environment.
  • Experience using board portals, entity management systems, SharePoint, workflow tools or governance trackers.
  • Experience supporting statutory filings, corporate records, director information or shareholder processes.
  • Awareness of corporate governance principles, committee terms of reference, delegations and decision-making processes.
  • Experience supporting effectiveness reviews, governance reporting or process improvement.
Qualifications:
  • Relevant qualification or equivalent experience in governance, company secretarial practice, business administration, law or a related discipline.
  • Chartered Governance Institute study, or willingness to work towards an appropriate governance qualification, would be advantageous.
  • Commitment to continuing professional development.
