Job summary

Freshfields' Global M&A and Capital (GMAC) team seeks an experienced mid-level Associate to join our M&A practice. The role covers public and private M&A, cross-border transactions, carve-outs, spin-offs and joint ventures for a broad client base.

You will work with top-tier teams across multi-jurisdictional deals and complex restructurings. The practice advises on strategic acquisitions, governance, and partnerships across Financial Institutions, Technology, Energy & Infrastructure,

Qualifications

• Qualified England & Wales or common law qualified lawyer with a top class academic record.
• Corporate M&A experience involving cross-border transactions at a leading firm.
• Experience of handling transactional workstreams with appropriate supervision.
• Strong technical drafting skills and commercial awareness.
• Excellent organisational and project management skills.
• Genuine interest/experience in TMT, Energy & Infrastructure or Financial Institutions sectors.

Responsibilities

• Advise on complex corporate transactions including acquisitions, disposals, mergers, restructurings, carve-outs and joint ventures.
• Advise on strategic acquisitions, reorganisations, shareholder arrangements and governance issues.
• Work on public and private M&A transactions, including takeover bids, schemes of arrangement and auction processes.
• Collaborate with antitrust, finance, tax, employment, regulatory, technology, IP and data protection teams to deliver client advice.
• Manage due diligence, transaction structuring, drafting and negotiation of key documents, coordinating multi-jurisdictional deal teams.
• Advise on post-merger integration, separation and transformation projects.
• Support clients on strategic partnerships, consortium arrangements and joint ventures.
