Job summary

Elevate seeks an experienced Corporate Governance Paralegal to join its in-house legal team, supporting multinational entity management and governance across a diverse portfolio of entities globally. You will oversee incorporations, statutory filings, and board resolutions, coordinating with external providers and local counsel in a fast-paced, international environment.

Qualifications

• Experience as Corporate Governance Paralegal or corporate paralegal in multinational settings.
• Proven ability to manage complex portfolios of legal entities across jurisdictions.
• Strong knowledge of corporate governance and company secretarial practices.
• Experience with external company secretarial providers, local counsel and regulators.
• Hands-on experience with entity management platforms (Diligent Entities, CSC, Athennian, GEMS or similar).
• Excellent records management and compliance knowledge.
• Highly organised with ability to manage deadlines across jurisdictions.
• Strong communication and stakeholder management across international teams.
• Proactive, detail-oriented with openness to AI/legal tech tools.

Responsibilities

• Manage a portfolio of legal entities across multiple jurisdictions, ensuring governance and statutory compliance.
• Oversee the entity lifecycle, including incorporations, dissolutions, restructurings, mergers and liquidations.
• Coordinate with external company secretarial providers, local counsel and regulators to ensure timely governance requirements.
• Prepare and maintain board and shareholder resolutions, powers of attorney and director appointments.
• Maintain statutory registers and entity management systems, audit-ready records.
• Coordinate annual compliance activities: filings, returns, director updates.
• Support cross-border corporate transactions and integrations.
• Partner with Legal, Tax and Finance to provide governance support across the structure.
• Drive continuous improvement of governance processes and use of AI tools.
