Leadout Capital in London seeks an experienced Senior Corporate Paralegal to join the Global Governance legal team. You will own non-US subsidiary compliance, manage complex governance initiatives, and partner with cross-functional leaders, external counsel, and executive stakeholders.

Qualifikationen

• 5+ years of corporate paralegal experience in multinational environments.
• Experience with international subsidiary management and non-US compliance workflows.
• Strong attention to detail and ability to manage high-volume, complex workloads.
• Experience applying generative AI tools and legal technology to drafting workflows.

Aufgaben

• Leads end-to-end governance for non-US subsidiaries, including formations, dissolutions, restructurings, and filings, maintaining entity data and records.
• Drafts board minutes, shareholder resolutions, powers of attorney, and director/officer appointments.
• Coordinates onboarding/offboarding across global entities and liaison with internal teams for transactions and regulatory needs.
• Manages relationships with external law firms and service providers, coordinating signature processes, apostilles, and document legalization, while promoting AI-enabled workflows.
