Job summary

Capital Dynamics is seeking a Private Funds Legal Counsel to join our Funds Legal Team in London. The role focuses on structuring, documenting, and lifecycle management of private equity and clean energy funds, ensuring ongoing regulatory compliance.

You will coordinate with internal stakeholders and external counsel, draft key fund documents, and help implement robust policies with Compliance. Strong PQE in private funds and fluent English are essential.

Qualifications

• Qualified lawyer with UK/EU/US qualification.
• 4–6 years PQE in private funds.
• Experience in private funds group at a law firm.
• Knowledge of closed-ended funds.
• PE fund structuring/operations; UK/US focus; Luxembourg/Cayman a plus.
• Strong organizational and problem-solving ability.
• Fluent English; strong spoken/written communication.
• European languages desirable.

Responsibilities

• Manage and coordinate all legal aspects of Capital Dynamics’ private equity funds (UK/US/Cayman/Luxembourg).
• Draft private placement memos, subscription docs, and partnership agreements; liaise with external counsel.
• Develop controls, policies, and procedures with Compliance.
• Liaise with law firms and third-party service providers.
• Assist with legal questions on investments, including tax and regulatory issues.
• Support Legal Heads and General Counsel.
