Job description

Corporate Secretary

Morgan McKinley is delighted to be partnering exclusively with a leading Financial Services organisation based in the South West to recruit a Corporate Secretary.

My client is award-winning, highly regarded and a Certified B Corporation, with a mission to drive positive, social, environmental and cultural change. They support organisations and projects that benefit people and the environment, with the support of investors who are looking to encourage corporate social responsibility and a sustainable society.

The Corporate Secretary role will have responsibility for providing Corporate secretarial services and logistical and professional support to the UK Board of Directors, and this is a key and high-profile role within the organisation.

You will be required to manage the internal policy framework ensuring a robust approach to delegations, advise on implementation best practice governance principles and coordinate the Annual and Interim reports, including drafting the Corporate secretarial inputs.

Specific responsibilities will include the following:

  • Coordinate administration and governance arrangements, ensuring compliance with legal and governance obligations
  • Ensure that the Board and other senior stakeholders are able to operate effectively as governance and decision-making bodies
  • Plan and coordinate Board strategy, training and education programmes
  • Shareholder engagement and management, including on the issuance and management of shares
  • Advise on internal governance arrangements
  • Guide and advise the Board and committees in business planning strategy development
  • Manage the local UK Policy Library, including advising on policy frameworks and delegations
  • Administer and manage corporate Power of Attorney (PoAs)
  • Contribute to the production of the annual report and accounts in relevant sections such as risk, CSR and corporate governance report

To be considered for this role, you will ideally need to be degree educated and qualified as a Chartered Secretary, Governance Professional, Chartered Accountant or as a Lawyer.

You will possess significant experience of Corporate secretarial work (ideally within a highly regulated sector), and knowledge of Financial Services regulatory requirements would be very beneficial.

You will also have strong interpersonal and leadership skills and an affinity with my clients values, and will be able to demonstrate experience of managing projects, delivering change and the ability to manage senior stakeholder relationships and influence the achievement of good board outcomes.

My client is a collaborative and supportive company with an outstanding reputation, and flexible working is on offer with the successful candidate ideally in the office at least 2 days per month.
