Job description

Here at Stonewater, we are seeking an agile Director of Governance, internally known as Company Secretary, reporting to the CFO.

Requirements

You will be responsible for the governance, strategy, and assurance framework and processes, ensuring these meet legal and regulatory requirements, to help enable:

  1. The board to make its annual statement of legal and regulatory compliance.
  2. The Chief Executive to make the annual business planning, risk, and internal controls assurance statement to the board.

You will provide support and advice to the board chair and non-executives as the first point of contact, ensuring they have access to the necessary information, learning, and resources to operate effectively.

As the senior risk officer, you will oversee Stonewater's risk framework, ensuring risks to objectives and operations are identified and managed, and that the organization operates within the risk appetite set by the board, to meet regulatory expectations and ensure safety.

You will monitor changes in the operating environment that could impact the delivery of the strategic plan and achievement of performance targets, escalating risks as needed, and will be a key member of our senior leadership team. You will be responsible for board reports and meetings to ensure compliance with regulatory obligations and charitable objectives.

This role also includes responsibility for Data Protection and overseeing DPO responsibilities. Insurance procurement and returns also fall under your team’s oversight.

The ideal candidate will
  • Ideally hold Chartered Secretary status.
  • Be educated to at least degree level or have equivalent experience.
  • Have prior company secretarial experience at a senior level or as a deputy in a large organization within a regulated sector.
  • Have knowledge of and good understanding of community benefit, company, and charity law.
  • Be familiar with regulatory requirements for community benefit societies, private limited companies, public limited companies, registered providers, and charities.
  • Have experience in strategic planning and performance management.
  • Be capable of working in a complex environment with remote staff across locations.
  • Be a good people manager, able to succession plan and train staff.
  • Maintain a calm and professional demeanor, communicating effectively with governance members, the executive, and the wider organization.
  • Possess strong ethical values and the confidence to act to safeguard legality and probity.

Appointment is subject to a satisfactory DBS check, references, and valid Right to Work documentation.
