Job summary

Sellick Partnership is collaborating with a prominent Newcastle-based Legal 500 law firm to recruit a Corporate Solicitor. You will handle mergers, acquisitions, and corporate governance matters, drafting SPAs, shareholder agreements, and NDAs, while coordinating due diligence and multidisciplinary teams.

The successful candidate will typically have 3+ years PQE in corporate law, with a proven track record in M&A, share sales/purchases, and restructures, delivering practical business-focused

Qualifications

• 3+ years PQE in corporate law.
• Experience handling mergers, share sales/purchases and restructures.
• Strong understanding of company law and corporate governance.

Responsibilities

• Advise on corporate matters including governance and regulatory compliance.
• Manage mergers, acquisitions, disposals and joint ventures from structuring to completion.
• Draft, review and negotiate SPAs, shareholders' agreements, articles of association and NDAs.
• Conduct due diligences and provide clear reports on findings.
• Advise on restructures, reorganisations and group structuring.
• Support equity investments, VC transactions and private equity deals.
• Liaise with tax advisers and other professionals to coordinate deals.
• Provide guidance on directors' duties and corporate compliance.
• Maintain strong client relationships through effective communication.
