Opportunity: Corporate Paralegal

A brilliant opportunity has arisen for a Corporate Paralegal to join a US firm in the City of London on a full-time basis.

Your New Firm

The successful Corporate Paralegal will join an extremely well-respected Corporate practice recognized in legal directories for strengths in financial services, life sciences, and TMT. They handle domestic and international deals, including in emerging markets.

Your New Role

Responsibilities include:

• Reviewing and drafting documentation such as corporate authorizations, share certificates, stock transfer forms, and other ancillary documents;
• Preparing and collating conditions precedent documentation and overseeing the process;
• Conducting company searches and due diligence;
• Handling pre-completion matters, including proofreading documents;
• Managing signing and closing arrangements for financing transactions;
• Post-completion tasks like preparing transaction bibles, collating originals, and managing files;
• Filing registrations at Companies House; and
• Reviewing and negotiating reliance letters.

About You

• Prior Corporate / M&A experience
• Good academic record
• Ability to work autonomously and handle tasks independently

This role has scope for extension beyond the initial 12 months.

Compensation

In return, the Paralegal will receive a competitive pro-rata salary, up to £45,000 per annum, depending on experience.
