Job summary

Alter Domus Luxembourg S.à r.l. seeks an Officer to manage day-to-day company secretarial matters for a diverse portfolio of real estate and private equity structures.

You will serve as a primary liaison for client secretarial duties and participate in ongoing training to broaden skills. The role involves onboarding client structures, coordinating KYC/Due Diligence, and preparing for board and shareholder meetings.

Qualifications

• 1+ year of company secretarial experience or a law degree.
• Familiarity with Know Your Customer / client due diligence is a plus.
• Experience with multi-jurisdictional corporate structures is advantageous.

Responsibilities

• Set up and onboard client structures and administer complex international structures.
• Assist with KYC/Due Diligence and corporate files monitoring.
• Interact with clients, board members, banks, lawyers, accountants and tax advisors.
• Prepare documents for company secretarial transactions and arrange filings.
• Prepare for and participate in board and shareholders' meetings.
• Maintain statutory records and monitor annual filings.
• Monitor changes in legislation and regulatory environment.
• Manage day-to-day operations of entities.

Job description

You will have day to day responsibility for a varied portfolio of containing a mix of real estate and private equity corporate entities, and will act as one of the main liaison and points of contact for all company secretarial matters relating to the client; While employed as an Officer you will have the opportunity to attend training to enhance your current skills and learn new ones as well; Your role

• Working on the setup and / or on-boarding of client structures, and administering complex international structures;
• Assisting with the preparation, collation and ongoing monitoring of Know Your Customer / Client Due Diligence and promoter / corporate files;
• Interaction with clients, board members, third party intermediaries such as banks, lawyers, accountants and tax advisors both in person and via written or telephone communication;
• Preparing the documents for various company secretarial transactions (e.g. incorporation, share allotment, capital reduction, change of directors, strike off, amendment of articles of association, power of attorney etc.) and arranging the necessary filings;
• Preparing for and participating in board and shareholders' meetings;
• Maintenance of statutory records for entities and monitoring annual statutory filings;
• Monitoring changes in relevant legislation and the regulatory environment and taking the appropriate action;
• Taking care of the day-to-day operations of the entities.Holding a relevant professional qualification or be working towards one would be an asset but not a requirement;
• You have one year or more of company secretarial experience or hold a law degree;
• Prior Blueprint experience (now called Diligent) would be a plus;
• You are keen to learn and possess an enthusiastic attitude;
• You possess team spirit, the capacity to build strong client relationships, and take initiative to act without waiting for direction when appropriate;
• You adopt a flexible and hands-on approach;
• You are organised with an eye for detail;
• You have the ability to prioritise and to handle multiple projects simultaneously is essential;
