Maraen Holdings invites applications for a Contract Analyst to support pre-contract and post-award phases across port, fabrication, IRM, and access projects in the UK energy transition market.

Embedded in the Commercial team, the role emphasizes reviewing contracts, identifying commercial risk, and developing contracting strategies within Maraen's governance framework. Office-based with UK locations.

Qualifications

• Proven experience in contract review, analysis, and administration within energy, construction, industrial services, or offshore sectors.
• Knowledge of NEC, FIDIC, or bespoke EPC/EPCM contract forms and risk/change mechanisms.
• Experience producing contract mark-ups, qualifications, and negotiation papers.
• Strong understanding of commercial risk allocation, liability structures, and insurance requirements in project environments.
• Experience supporting bid/tender submissions from a contractual perspective.

Responsibilities

• Review, analyse, and markup contract documents including NDAs, MSAs, and NEC/FIDIC contracts.
• Develop structured contract qualifications and commentary for tender submissions with commercial justification.
• Support pre-contract negotiations with redlines, position papers, and negotiation strategies.
• Administer live contracts across project portfolios, ensuring compliance with notice and change-control procedures.
• Issue and manage contractual notices, early warnings, and compensation events per contract mechanisms.
• Maintain contract records and audit trails to support dispute avoidance and governance.

We are recruiting for a Contract Analyst to provide contractual expertise across both pre-contract and post-award phases of project delivery. The role is embedded within the Commercial team and operates across the Group's port, fabrication, IRM, and access businesses, with direct exposure to some of the most technically complex and commercially significant infrastructure projects in the UK energy transition market.

The Contract Analyst will be responsible for reviewing and qualifying contract documents, identifying commercial risk, and supporting the development of contracting strategies aligned with Maraen's commercial governance framework. The role requires a structured, analytical approach combined with the commercial pragmatism to support competitive tender submissions and live project delivery simultaneously.

Key Accountabilities

• Review, analyse, and mark up contract documents including NDAs, MSAs, NEC contracts, bespoke client terms, and subcontract forms, identifying deviations from Maraen's standard commercial positions.
• Develop structured contract qualifications and commentary for inclusion in tender submissions, ensuring deviations on liability, indemnity, insurance, and payment terms are clearly articulated and commercially justified.
• Support pre-contract negotiations by preparing redline mark-ups, position papers, and negotiation strategies in collaboration with the Head of Commercial and legal advisers.
• Administer live contracts across Maraen's project portfolio, maintaining compliance with notification requirements, change control procedures, and contractual obligations.
• Issue and manage contractual notices, early warnings, and compensation event submissions in accordance with applicable contract mechanisms, particularly under NEC and FIDIC frameworks.
• Maintain comprehensive contract records and audit trails across all projects, ensuring documentation standards support dispute avoidance and commercial governance.
• Identify and elevate liability exposure, insurance gaps, and commercial risk within contract packages, providing structured recommendations to the Head of Commercial.
• Support the development and maintenance of Maraen's standard contracting positions on key terms including liability caps, indemnity structures, consequential loss, IP, data protection, and step-in rights.
• Assist in reviewing and onboarding subcontract arrangements, ensuring pass-through of relevant client obligations, flow-down clauses, and HSEQ requirements.
• Provide contract interpretation support to operations and project delivery teams on live scopes, ensuring day-to-day activities are conducted within the agreed contractual framework.
• Contribute to post-award commercial reviews and lessons-learned processes to improve future contracting strategy and risk identification.

• Support the holding of Board of Directors and Shareholder meetings.
• Support the preparation of necessary resolutions in a proper manner.
• Support,develop and enhance Maraen Corporate Governance.

Knowledge and Experience

Essential

• Proven experience in contract review, analysis, and administration within energy, construction, industrial services, or offshore sectors.
• Working knowledge of NEC, FIDIC, or bespoke EPC/EPCM contract forms and associated risk and change management mechanisms.
• Demonstrable experience producing contract mark-ups, qualifications, and negotiation position papers.
• Strong understanding of commercial risk allocation, liability structures, indemnity frameworks, and insurance requirements in project-based environments.
• Experience supporting bid and tender submissions from a contractual perspective, including qualification of client terms and conditions.
• Familiarity with post-award contract administration including notices, change control, claims preparation, and dispute avoidance.

Desirable

• Experience in offshore wind, oil and gas, port operations, fabrication, or marine contracting environments.
• Exposure to supply chain and subcontract management within multi-tier project structures.
• Formal legal or commercial qualification (e.g., LLB, LLM, IACCM/WCCA accreditation, or equivalent).
• Familiarity with Scottish and English law as applied in energy and infrastructure contracting contexts.

This role is full-time and office based, and can be based at Edinburgh (EH2), Aberdeen (AB11) or Port of Nigg (IV19). Applicants must be able to commute daily to one of these locations.
