Job summary

Howard Kennedy LLP is seeking an Associate to join its growing Capital Markets team, specialising in listed closed-ended investment funds. You will work with experienced partners on IPOs, fundraises, and listings, gaining exposure to investment trust and REIT clients within a vibrant ECM practice.

The role focuses on advising non-executive Boards of VCTs and broader listed funds, with opportunities to engage asset managers and investment managers across the UK.

Qualifications

• Post-qualification experience in corporate or capital markets.
• Experience with listed closed-ended investment funds preferable but not essential.
• Strong understanding of UK capital markets regulations.
• Excellent drafting, technical and analytical skills.
• Strong project management and attention to detail.
• Ability to build effective relationships with clients and colleagues.
• Commercial awareness with proactive, collaborative approach.
• Interest in growing the Capital Markets practice.

Responsibilities

• Advising listed closed-ended investment funds on a wide range of transactions, including IPOs, secondary fundraisings and mergers.
• Advising listed companies on ongoing disclosure obligations and compliance with market rules.
• Drafting and reviewing transaction documents, including admission documents, prospectuses, placing agreements, and announcements.
• Verification of public documents.
• Liaising with non-executive Directors, brokers, investment managers, accountants and other advisers.
• Managing matters efficiently and providing commercially focused legal advice.
