We are seeking an Associate Legal Counsel to help support our Global Legal Counsel (based in Franklin, TN) . The ideal candidate will possess a strong understanding of legal principles and demonstrate exceptional negotiation skills. This role is crucial in providing legal advice, ensuring compliance with regulations, and representing the organisation in various legal matters. The Associate Legal Counsel will work collaboratively with other departments to support the organisation's objectives while safeguarding its interests.
Essential Duties and Responsibilities:
- Draft, review and administer corporate contracts and related documents, including providing legal support on corporate, technology, licensing, commercial and related transactions, human resource issues, international tax law and application, and special projects
- Cooperate and coordinate with other Naxos counsel worldwide on corporate governance matters, Intellectual Property registration, etc., as well as provide support for local and global Board of Directors and Committees, including local oversight of corporate governance and related policies
- Stay up-to-date on and advise corporate leadership teams regarding general legal issues and best practices in the industry, specifically within the UK and EU
- Provide legal training to members of management and business partners
- Assist with the design, implementation, and management of global legal operations strategy, including contract and legal document lifecycle management, and legal knowledge and information management
- Provide support for M&A transactions, including working with various corporate stakeholders on deal structure and LOI terms, planning and assisting in due diligence, drafting deal agreements, and actively managing deal process and execution
Qualifications & Requirements
- Education:Must have a law degree (Juris Doctor or equivalent) from an accredited law school
- License:Must be a licensed solicitor with the authority to practice law in England and Wales, or registered in-house counsel equivalent in the local jurisdiction, in active, good-standing status
- Experience:1-2 years of in-house legal experience or music business related experience preferred
- Excellent research, analytical, and problem solving skills required
- Strong written and verbal communication skills, with the ability to explain complex legal issues clearly and concisely to non-legal stakeholders
