Job Description:

Are you an experienced and proactive governance professional or Assistant Company Secretary seeking a challenging role within the Asset Management sector?

Do you desire senior board exposure involving board support and governance advisory work?

This international Asset Manager, managing approximately £900M AUM with 5000 employees across 60 countries, offers an opportunity for an ambitious governance professional to provide seamless board support, advisory, and compliance activities.

The role involves working for the Asset Manager’s global outsourced service provider, with your main focus being on the Asset Manager itself, effectively making this an in-house position on-site as part of a team.

Your primary responsibilities include:

  • Organizing and managing all aspects of board planning, including agendas, paper distribution, attendance (as Secretary and occasionally as Chair), and producing high-quality minutes.
  • Developing and maintaining the group governance framework, policies, and procedures.
  • Advising the board on legal and governance matters following best practices.
  • Monitoring regulatory changes and ensuring compliance.
  • Supporting statutory compliance activities, including filings.
  • Serving as the main communication point for stakeholders such as boards, shareholders, and regulators.
  • Coordinating annual report preparations, shareholder communications, and AGM planning.

The ideal candidate will:

  • Hold a degree and preferably be a qualified Company Secretary.
  • Have at least 5 years of broad UK company secretarial and governance experience, including board support and minute-taking.
  • Possess experience within asset management or financial services, with knowledge of FCA-regulated boards.
  • Have confidence, gravitas, and strong communication skills to engage with senior leadership.
  • Be well-organized, with excellent planning and time management skills, and capable of managing others.

This position is based in London (or Bristol) and offers a hybrid working arrangement, requiring attendance in London for board activities as needed.

The salary is up to approximately £75,000 (negotiable), plus bonus and benefits. Applicants must have full UK work eligibility, as sponsorship is not available.
