Job Description:

Ladwa Recruitment is working in partnership with a prestigious listed organisation to recruit an experienced Assistant Company Secretary for their Company Secretariat department.

This entrepreneurial organisation seeks a governance professional to join their fast-paced Secretariat team. Reporting to the Deputy Company Secretary, this role offers varied and challenging work within a PLC.

  • Support the board and committee processes, including drafting agendas, preparing board papers, and uploading documents to the board portal.
  • Manage UK & international subsidiaries, ensuring compliance with global governance frameworks.
  • Manage MAR compliance.
  • Assist with the Annual Report & Accounts, including drafting, reviewing content, and liaising with auditors and stakeholders.
  • Lead shareholder meetings such as the AGM.
  • Manage director induction processes, training, and conflict registers.
  • Lead corporate projects, e.g., legal entity rationalisation.
  • Support and mentor team members.

This role suits an ambitious, capable, and diligent candidate eager to improve governance and compliance processes. A good understanding of corporate governance and regulatory requirements for a listed organisation is essential.
