Directly reporting to the Chief Legal Officer, your main tasks will be focused around Corporate law and will also include some responsibilities in Employment law as follows:

What you’ll be doing
  • Corporate:
  • Handle the Company corporate transactions including funding, M&A, investment, and other strategic operations in a substantive fashion (e.g., structuring corporate documentation, due diligence participation, negotiation of investment agreements, post-closing formalities).
  • Handle corporate secretary for the French entity and its 8 worldwide subsidiaries and ensure compliance with local corporate law.
  • Manage our ESOP plans distributed to our collaborators worldwide and associated formalities
  • Assist in developing and executing legal strategy regarding group structuration and setting up new entities around the world.
  • Provide corporate advices to the different stakeholders of the company
  • Employment:
  • Assist the People Team in secure the employment operations of Swapcard France and its subsidiaries
  • Develop template employment agreements, company policies and documentation for each entity in collaboration with the People and Culture team
  • Assist during administrative inspection and employee’s termination
  • Provide employment law advice and opinion to the different stakeholders of the company
Your Profile
  • French legal education mandatory
  • Master 2 in Business law - double major in business school/political science/LLM is a plus
  • Admitted to practice law in France (CAPA)
  • 3 to 5 years of experience (post graduation) in corporate law
  • An experience in employment law is not mandatory but is a plus
  • Bonus - You are familiar with start up clients
  • Excellent communication and drafting skills
  • English and French full written/oral proficiency
