Job summary

Swapcard, an AI-powered event platform, seeks a Corporate Lawyer to manage complex corporate transactions, group structuring, and ESOP administration for our France entity and international subsidiaries. You will advise founders and liaise with finance and external counsels in a fast-growing startup.

Requirements include a Master 2 in Business Law, CAPA admission in France, and 4–6 years of corporate law experience.

Qualifications

• Excellent communication and drafting skills.
• Fluency in English and French, both written and spoken.
• CAPA admission to practice in France is required.
• Master 2 in Business Law or equivalent is preferred.
• Pro-active, autonomous and solution-driven attitude.
• Experience in corporate law (4–6 years) is expected.

Responsibilities

• Handle Company corporate transactions including funding, M&A, investments, and other strategic operations.
• Maintain corporate secretary duties for the French entity and 8 worldwide subsidiaries; ensure compliance with local law.
• Manage ESOP plans distributed to collaborators worldwide and related formalities.
• Develop and execute legal strategy regarding group structuring and setting up new entities globally.
• Provide corporate advice to founders and stakeholders; collaborate with finance and external counsels.

If you replied yes to the above questions, Directly reporting to the Chief Legal Officer, your main tasks will be focused around Corporate law as follows:What you'll be doing?

What you'll be doing

• Handle the Company corporate transactions including funding, M&A, investment, and other strategic operations in a substantive fashion (e.g., structuring corporate documentation, due diligence participation, negotiation of investment agreements, post-closing formalities).
• Handle corporate secretary for the French entity and its 8 worldwide subsidiaries and ensure compliance with local corporate law.
• Manage our ESOP plans distributed to our collaborators worldwide and associated formalities
• Assist in developing and executing legal strategy regarding group structuration and setting up new entities around the world.
• Provide corporate advices to the founders and and different stakeholders of the company
• Proactively collaborate with the finance team and our outside counsels.

Your responsibilities

Your responsibilities may include other areas of business laws including legal operations.

Your Profile

• French legal education mandatory
• Master 2 in Business law - double major in business school/political science/LLM is a plus
• Admitted to practice law in France (CAPA)
• 4 to 6 years of experience (post graduation) in corporate law
• An experience in other areas of business law is not mandatory but is a plus
• Bonus - You are familiar with start up clients
• Excellent communication and drafting skills
• English and French full written/oral proficiency
