Job summary

Jobgether is seeking a Senior Corporate Counsel based in Finland to shape corporate strategy for a globally distributed technology business. You will lead securities law, governance, M&A, and cross-border transactions while advising stakeholders on critical business decisions.

You will oversee international subsidiaries, employee equity programs, and strategic financings, working across jurisdictions to ensure compliance and scalable processes in a fast-paced, open web environment.

Qualifications

• Experience in securities law and governance for private/late-stage companies.
• Experience managing international subsidiaries and complex transactions (financing rounds, M&A, equity).
• Familiarity with employee equity programs and open-source licensing considerations.

Responsibilities

• Lead global securities law compliance and corporate governance.
• Oversee international subsidiary structure and records, intercompany agreements, and local compliance.
• Support board governance with agendas and materials, document meetings and actions.
• Oversee employee equity programs and stock transactions.
• Lead legal execution of fundraising, M&A, financing, and other strategic transactions.
• Manage venture investments and related transaction execution.
• Develop scalable legal and business processes for international operations.
• Advise on software integrations, IP licensing, and open-source matters.
• Translate complex legal issues into practical recommendations aligned with business goals.
