AX Partners in Geneva seeks a hands-on Legal Counsel to support pan-European real estate equity and private credit transactions from structuring to exit.

You will review term sheets, loan agreements, and ancillary documents, coordinate cross-border advisers, and help build scalable legal processes for growth across Europe. Fluent Spanish and English required; French would be a plus.

Formación

• Qualified lawyer in a European jurisdiction (Spain, Switzerland, Luxembourg or similar).
• 4–7 years of experience in a leading law firm, investment firm, bank, private credit platform or real estate company.
• Experience in real estate transactions, M&A, banking and finance, private credit or Luxembourg investment structures.
• Exposure to cross-border transactions and coordinating advisers across jurisdictions.
• Commercial, pragmatic and execution-oriented with strong drafting and negotiation abilities.
• Comfortable in an entrepreneurial, fast-moving, international environment.
• Fluent Spanish is mandatory; full English proficiency also required.
• French would be an advantage but is not mandatory.
• Willingness to work from Geneva on a hybrid model with Spain preferred.

Responsabilidades

• Support and coordinate the legal execution of pan-European real estate equity and private credit transactions.
• Review and negotiate term sheets, NDAs, SPAs, shareholders’ and joint-venture agreements, and other docs.
• Review and negotiate loan agreements, guarantees, security documents, intercreditor arrangements, amendments and refinancing docs.
• Coordinate legal due diligence, conditions precedent, closings and post-closing obligations.
• Assist with Luxembourg investment vehicles, governance and securitisation structures.
• Assist with hotel acquisitions, management, lease and operator agreements.
• Coordinate external counsel, notaries, lenders and advisers across Europe.
• Prepare board docs, powers of attorney and transaction records.
• Support KYC, AML and compliance processes for investments.
• Contribute to standard documentation and internal processes as the platform grows.

As AX Partners expands its international platform, we are looking for a Legal Counsel to join our Geneva office and support transactions across Switzerland, Luxembourg, Spain and other European markets.

This is a hands-on transactional position working directly with the Partners and investment team.

The Legal Counsel will participate in the complete lifecycle of our hotel equity and real estate credit investments—from initial structuring and due diligence to execution, asset management, refinancing and exit.

Responsabilities

• Support and coordinate the legal execution of pan-European real estate equity and private credit transactions.
• Review and negotiate term sheets, NDAs, SPAs, shareholders’ agreements, joint-venture agreements and other transaction documents.
• Review and negotiate loan agreements, guarantees, security documents, intercreditor arrangements, amendments and refinancing documentation.
• Coordinate legal due diligence, conditions precedent, transaction closings and post-closing obligations.
• Support the incorporation, governance and ongoing management of Luxembourg investment, holding and securitisation vehicles.
• Assist with hotel acquisitions and operating arrangements, including management, lease, franchise and operator agreements.
• Coordinate external counsel, notaries, lenders, corporate service providers and other advisers in different European jurisdictions.
• Prepare and maintain corporate approvals, board documentation, powers of attorney and transaction records.
• Support KYC, AML and corporate compliance processes associated with investments and investment vehicles.
• Provide practical legal support to the investment and asset-management teams throughout the life of each transaction.
• Help develop standard documentation and internal legal processes as the platform grows.

Candidates

• Qualified lawyer in Spain, Switzerland, Luxembourg or another European jurisdiction.
• Approximately 4–7 years of professional experience in a leading law firm, investment firm, bank, private credit platform or real estate company.
• Relevant experience in real estate transactions, M&A, banking and finance, private credit or Luxembourg investment structures.
• Exposure to cross-border transactions and the coordination of advisers across multiple jurisdictions.
• Commercial, pragmatic and execution-oriented, with the ability to identify the issues that matter to an investment decision.
• Strong drafting, negotiation, organisational and project-management skills.
• Comfortable working in an entrepreneurial, fast-moving and international environment.
• Fluent Spanish is mandatory.
• Full professional proficiency in English is also required.
• French would be an advantage but is not mandatory.
• Availability to work from Geneva hybrid with Spain prefered.
