Sandoz is hiring for a Counsel Group Governance Legal to provide governance counsel and support across the global portfolio of Sandoz subsidiaries, with a focus on statutory governance, subsidiary boards, governance structures, and governance effectiveness. You will serve as a trusted governance advisor to affiliates and internal stakeholders, ensuring governance requirements are implemented consistently.

• Law degree and relevant legal qualification.
• +5 years of experience in corporate governance or related field.
• Strong knowledge of international board governance and subsidiary governance.
• Ability to manage complex governance matters independently.
• Fluent English is mandatory; other languages are advantageous.

Responsabilidades

• Serve as primary contact for corporate governance requests from affiliates.
• Support and develop global subsidiary governance framework.
• Advise on subsidiary governance matters including board appointments and governance structures.
• Coordinate external counsel and other legal service providers.
• Lead governance oversight, assurance, and monitoring activities.
• Coordinate ownership, UBO and due diligence for Sandoz entities.
• Monitor governance developments and enhance standards across the group.
• Contribute to legal entity management and corporate restructuring projects.
