Aquila Clean Energy EMEA in Hamburg seeks a (Senior) Legal Counsel to oversee contractual, regulatory and governance matters for renewable energy projects across Europe. You will draft and negotiate SPAs, EPCs, O&M, PPAs and related agreements, and manage relationships with external counsel and project teams.

You bring a qualified German lawyer with at least 3 years in energy/infrastructure, fluency in German and English, and a strategic mindset to navigate complex commercial structures.

Qualifications

• Qualified lawyer licensed to practice in Germany.
• 3+ years post-qualification in energy/infrastructure.
• Familiar with corporate and financing law.
• German and English proficiency required; additional languages a plus.
• Strong negotiation and communication skills.

Responsabilités

• Draft and review a wide range of contracts including SPAs, EPC, O&M, PPAs and related agreements.
• Lead contract negotiations with suppliers, clients and regulators.
• Analyze regulatory and permitting matters for development, construction and operation of projects.
• Corporate housekeeping of project companies (minutes, board resolutions, PoAs, director changes).
• Steer and manage external legal counsel; align advice with business objectives and timelines.
• Identify legal risks and propose mitigation strategies aligned with business goals.

For our office in Hamburg, we are looking for a (Senior) Legal Counsel.

What will you do day-to-day?

• Independently drafting and reviewing of various types of contracts, including but not limited to Sale and Purchase Agreements (SPA), Engineering, Procurement, and Construction (EPC) contracts, Operation & Maintenance (O&M) agreements, Financing Agreements, Land Lease & Purchase Agreements, Power Purchase Agreements (PPAs), and other project-related contracts.
• Leading contract negotiations with stakeholders such as suppliers, clients, partners, and regulatory bodies, ensuring terms and conditions are in the best interest of the company and comply with applicable regulations.
• Analysis of regulatory and permitting matters during the development, construction and operation of renewable energy projects to ensure compliance with local, national, and international regulations.
• Corporate housekeeping of project companies (e.g. drafting of minutes, board resolutions, PoAs, change of directors).
• Steering and managing external legal counsel to ensure legal advice is aligned with business objectives and timelines. Acting as a liaison between external legal teams and internal business teams, ensuring seamless communication and collaboration.
• Identify potential legal risks associated with contracts, regulatory matters, and corporate governance. Propose risk mitigation strategies and solutions that align with business objectives.

What are we looking for?

• Qualified lawyer in Germany
• A minimum of 3 years post-qualified experience in the energy and infrastructure sector
• Familiar with corporate and financing law
• Fluent in German and excellent English skills are pre-requisites, further languages (e.g. Spanish, Italian, Portuguese) are a plus
• Highly motivated personality with strong negotiation and communication skills
• Profound understanding of the commercial aspects of the energy and infrastructure sector as well as of complex structures
