Job Details: Commercial Legal Counsel (m/w/d)
Menck, a major player in the prestigious ACTEON Group, leads the world in providing innovative equipment and services for pile installation to secure renewable energy through onshore and offshore wind turbines, among other things. With over 150 years of experience, our state‑of‑the‑art piling rigs set standards for foundation construction in the oil and gas sector and bridge construction, and play a central role in renewable energies. Menck is looking for a full‑time permanent Commercial Legal Counsel (m/w/d) based at the facility in Kaltenkirchen, Germany or in the Netherlands.
Responsibilities
- Providing legal advice on commercial contracts.
- Drafting, reviewing, and negotiating client and vendor contracts.
- Identifying and mitigating contractual and commercial risks.
- Supporting sales, tender, and operational teams on legal and contractual matters.
- Managing litigation and disputes.
- Advising on various legal disciplines, including intellectual property, GDPR and relevant EU regulations.
- Ensuring legal compliance and implementing new laws and regulations.
- Drafting and maintaining contract templates, general terms and conditions, and contracting principles.
- Coordinating, leading, and advising on cross‑functional matters such as insurance, tax and securities.
- Delivering legal and contract training to internal stakeholders.
- Providing company secretarial support, including incorporations, insolvency procedures, and asset transfers.
- Acting as a compliance ambassador within the Business Line.
Requirements
- Master’s degree in law from Germany, the Netherlands, or England (or equivalent qualification from another jurisdiction).
- Minimum of 4 years’ experience as an in‑house lawyer or legal counsel, preferably in construction, renewables, oil & gas, industrial sectors, or other complex technical environments.
- Risk Management: Ability to identify, assess, and mitigate legal and commercial risks.
- Strategic Thinking: Aligns legal guidance with business strategy and provides proactive, business‑oriented solutions.
- Communication Skills: Strong written and verbal skills; able to translate complex legal topics into clear, understandable language.
- Problem‑Solving: Analytical mindset with a pragmatic and efficient approach to legal challenges.
- Interpersonal Skills: Proven ability to build and maintain strong working relationships across functions and with external partners.
- Ethical Judgment: High integrity and discretion in handling sensitive and confidential information.
- Project Management: Able to manage several legal matters simultaneously while ensuring timely, high‑quality results.
- Negotiation Skills: Confident negotiator able to secure favourable terms and effectively represent the company’s interests.
