Qualifications

• JD from an accredited law school.
• Called to the Ontario bar and in good standing with the Law Society of Ontario.
• 0–2 years of corporate law experience, with transactional exposure.
• Experience drafting and negotiating commercial agreements.
• Strong legal research and drafting skills.
• Proficiency with legal research tools and technology.
• Strong written and verbal communication, with clear client presentation.
• Excellent client service skills and professional demeanor.
• Work ethic: detail-oriented, proactive, and capable of independent and collaborative work.

Responsibilities

• Advise on corporate matters including transactions and day-to-day corporate-commercial tasks.
• Oversee deal processes: due diligence, closing coordination, and execution of corporate transactions such as mergers and financings.
• Conduct thorough corporate law research.
• Manage day-to-day corporate matters: incorporations, contracts, governance, compliance.
• Draft, review, edit, and negotiate corporate documents and agreements.
• Organize client files and maintain records; ensure data accuracy.
