Job summary

Aecon Group in Toronto, Ontario seeks a Corporate Counsel to provide timely advice on corporate and securities matters, including M&A and financings, governance, and regulatory compliance. You will collaborate with internal stakeholders and outside counsel to support Aecon’s strategic initiatives.

Requirements include membership in good standing with the Law Society of Ontario and 2–4 years of post-call experience in corporate/securities law; domestic and cross-border M&A experience is a strong

Qualifications

• Member in good standing with the Law Society in Ontario
• Post-call legal experience: 2-4 years as a corporate and/or securities counsel
• Transactional experience including domestic and cross-border M&A is a strong asset

Responsibilities

• Advise on mergers, acquisitions, divestitures, strategic investments and other corporate transactions and draft, review and negotiate transaction documents
• Prepare and review corporate resolutions, organizational documents, disclosure materials and regulatory filings
• Advise on securities laws and regulatory requirements applicable to Aecon and support Aecon’s public Board of Directors, including preparation of Board materials
• Support public and/or private securities offerings, financings and capital markets transactions
• Assist with the development, implementation and updating of Aecon’s corporate policies and procedures
• Instruct and manage outside counsel, including strategy, work product, and business alignment.
