Part of nGAGE Talent Limited in the Greater Toronto Area, Ontario, is seeking an experienced Legal Counsel to support an active M&A transaction on a 6‑month contract with potential to transition to a permanent role.

The role requires drafting, reviewing and negotiating M&A agreements, supporting due diligence, and advising senior stakeholders and external counsel in a fast‑paced, transaction‑driven environment.

Qualifications

• Qualified lawyer eligible to practise in Ontario.
• 4+ years of relevant legal experience with strong M&A and transactional contracts experience.
• Proven experience supporting M&A transactions and legal due diligence.
• Strong contract drafting and negotiation skills.
• Commercially minded with ability to provide practical business-focused legal advice.
• Able to work with senior stakeholders and external advisors.
• Fast-paced, transaction-focused environment.

Responsibilities

• Provide legal support throughout an active M&A transaction.

The Opportunity

A leading industrial technology and manufacturing organisation is looking for an experienced Legal Counsel to join its team on an initial 6-month contract, with the potential to transition into a permanent position. This is a hands‑on opportunity to support an active M&A transaction, working closely with senior internal stakeholders, external legal counsel and other advisors.

Key Responsibilities

• * Provide legal support throughout an active M&A transaction
• * Draft, review and negotiate M&A agreements and related commercial contracts
• * Support legal due diligence and identify key legal and commercial risks
• * Review and negotiate transaction documentation
• * Work closely with senior business and finance stakeholders

Experience Required

• * Bachelor of Law degree
