Job summary

Alpine IQ is seeking an experienced Corporate Counsel to serve as a trusted legal partner across the business. You will work with Finance, Sales, Customer Success, Product, and Engineering to provide practical guidance and own the commercial contracting process end‑to‑end.

You’ll lead negotiations on MSAs, SaaS subscriptions, and vendor agreements, develop a contract playbook, and align product and platform documentation with legal requirements.

Qualifications

• JD from an accredited law school and active membership in good standing with at least one U.S. state bar.
• 7–10 years of relevant legal experience, with meaningful experience negotiating technology or SaaS commercial agreements.
• Experience taking ownership of SaaS subscription and MSA negotiations, including terms related to auto-renewal, limitation of liability, indemnification, IP, data protection, and security.
• Working knowledge of privacy and data protection laws, including GDPR and CCPA/CPRA, particularly for B2B platforms.
• Experience advising businesses in regulated environments and translating regulatory requirements into practical guidance.
• Strong business judgment and ability to make thoughtful decisions when not always a clear answer.
• Ability to manage competing priorities with high-volume requests while maintaining quality.
• Strong written and verbal communication skills to explain complex legal issues clearly.

Responsibilities

• Draft, review, negotiate, and manage commercial agreements (MSAs, SaaS, SOWs, NDAs, etc.).
• Negotiate customer agreements with Sales and Customer Success, including enterprise deals.
• Develop a practical contract playbook with approved language and guidelines."
• Build and improve contracting processes, templates, approval workflows, and contract management practices.
• Advise on product, privacy, and regulatory matters to support business initiatives.
• Monitor contract obligations, exceptions, and upcoming renewals to keep teams informed.
• Maintain platform legal documentation (ToS, Privacy Policy, SLAs, etc.).
• Collaborate with Product and Engineering on features, APIs, AI/ML usage, and data handling.
• Coordinate with Security on audits, questionnaires, and certification requirements.
• Support corporate, employment, and other general legal matters with Finance and outside counsel.
