Job summary

West Edmonton Mall is seeking a Corporate Commercial Paralegal to support the Corporate Head Office on corporate, commercial, and transactional matters. You will collaborate with Leasing Counsel and senior stakeholders in a fast-paced corporate environment.

The role requires strong organization, attention to detail, and the ability to manage multiple complex files. A minimum of five years in a corporate setting and CORES Level II are essential, with CORES III considered an asset.

Qualifications

• Minimum of five years of corporate commercial paralegal or legal assistant experience.
• Post-secondary education in Paralegal Studies, Legal Assistant, or Business Administration.
• CORES Level II is required; CORES Level III is a strong asset.

Responsibilities

• Assist with review, analysis, and drafting of commercial agreements including service, purchase & sale, loan and financing, NDAs, amendments, and other contracts.
• Prepare revisions, schedules, and ancillary documents per negotiated terms and instructions from Leasing Counsel and stakeholders.
• Coordinate transactional and post-closing matters, track deliverables, and organize finalized legal documentation.
• Prepare and maintain closing books and electronic filing systems.
• Draft and prepare corporate records and filings including incorporations, amendments, revivals, dissolutions, and share transactions.
• Conduct corporate due diligence, minute book audits, and registry searches; compile findings and follow-up requirements.
• Maintain corporate minute books, records, and internal databases for accuracy and compliance.
• Manage registry filings and liaise with external service providers, registries, and legal professionals.
• Provide administrative and paralegal support including drafting correspondence, organizing records, scanning and filing.
