Job summary

Absorb Software is a leading global AI-driven learning platform provider with a remote-first culture. We seek a licensed attorney to lead commercial and technology transactions, negotiating B2B SaaS and enterprise software agreements, and guiding confidentiality, privacy, and security terms.

The role requires independent work, strong drafting ability, and collaborative cross-functional partnering to support timely deal closure. AI contracting experience is a plus.

Qualifications

• JD or equivalent law degree; active bar admission.
• Minimum 5 years of commercial/tech transactional experience with B2B SaaS.
• Strong drafting and negotiation skills; knowledge of IP, privacy, and information security.
• Ability to work independently and manage competing deadlines.
• Preferred: AI contracting experience and international negotiations.

Responsibilities

• Negotiate commercial contracts, including NDAs, data processing, vendor and tech agreements.
• Advise on indemnities, liability, warranties, IP, privacy, and information security terms.
• Collaborate with Sales, Product, Finance, Procurement, Privacy and Security to close deals.
• Manage concurrent negotiations and assess legal/commercial risks.
• Support contracting for AI-enabled products, including data usage and training rights.
• Coordinate on international transactions and cross-border contracting requirements.
• Develop and improve standard agreement templates and negotiation playbooks.
