Job summary

Aecon in Toronto is seeking a corporate and securities counsel to advise on mergers, acquisitions, divestitures, and other corporate transactions, draft, review and negotiate transaction documents, and support regulatory filings for Aecon’s public and private offerings.

You are a Ontario-licensed lawyer with 2–4 years post-call experience, experienced in domestic and cross-border M&A, and able to balance legal risk with business objectives in a fast‑paced, matrixed environment.

Qualifications

• Member in good standing with the Law Society in Ontario.
• Post-call legal experience: 2-4 years as a corporate and/or securities counsel at a major law firm or as in‑house counsel at a Canadian public company.
• Transactional experience including domestic and cross-border M&A is a strong asset.

Responsibilities

• Advise on mergers, acquisitions, divestitures, strategic investments and other corporate transactions and draft, review and negotiate transaction documents.
• Prepare and review corporate resolutions, organizational documents, disclosure materials and regulatory filings.
• Advise on securities laws and regulatory requirements applicable to Aecon and support Aecon’s public Board of Directors, including preparation of Board materials.
• Support public and/or private securities offerings, financings and capital markets transactions; assist with the development, implementation and updating of Aecon’s corporate policies and procedures.
• Instruct and manage outside counsel, including strategy, work product, and business alignment.
