Our Client

Our client, a leading national full-service law firm, is seeking a mid-to-senior level Associate or Counsel to join its highly regarded Infrastructure and Project Finance practice in Toronto.

The firm advises on some of Canada’s most significant infrastructure, P3 and energy projects and acts for a sophisticated client base that includes lenders, sponsors, developers, investors and other key project stakeholders.

The Role

The successful candidate will play a key role on complex project finance and infrastructure mandates, with a particular focus on public-private partnerships (P3s), major infrastructure projects and related financing transactions.

The lawyer will advise clients throughout the lifecycle of major projects, including project development, financing, refinancing and strategic transactions. The practice involves sophisticated debt and financing structures, complex commercial arrangements and significant interaction with lenders, sponsors, developers, investors and public-sector counterparties.

The role will include drafting and negotiating financing and project-related agreements, advising on the structuring and execution of P3 and infrastructure transactions, and supporting clients on large-scale transportation, energy, social infrastructure and other major project mandates.

The successful candidate will also have the opportunity to work on cross-border and multi-jurisdictional transactions and collaborate closely with lawyers across the firm’s corporate, banking, construction, energy and infrastructure practices.

Candidate Profile

The ideal candidate will have:

  • Approximately 5+ years of relevant legal experience, with flexibility for more senior candidates;
  • Meaningful experience in project finance, infrastructure finance, P3 transactions or other complex financing matters;
  • Experience advising lenders, sponsors, developers, investors or other stakeholders on major projects;
  • Strong drafting and negotiation skills, particularly in relation to financing and complex commercial agreements;
  • Exposure to infrastructure, energy, transportation or other major capital projects;
  • Experience with sophisticated debt structures, acquisition financing or related banking and finance transactions considered an asset;
  • Excellent analytical, communication and client-management skills;
  • A commercially minded and collaborative approach to legal practice; and
  • Membership in good standing with the Law Society of Ontario.
