Job summary

Personnel Alter Ego is seeking a paralegal to join its corporate services team. The incumbent will support lawyers, work independently, and handle a variety of corporate law tasks in a permanent, full-time position.

Key duties include updating minute books, handling due diligence, filing with authorities, drafting resolutions, and serving as a client liaison. The candidate must be bilingual, with DEC in paralegal technology and 7 years of experience.

Qualifications

  • 7 years in a similar position.
  • Diploma of Collegial Studies (DEC) in paralegal technology.
  • Bilingualism French/English required.
  • Ability to communicate effectively with the firm and clients.
  • Ability to work independently and in a team.
  • Ability to conduct legal research.
  • Knowledge of government laws and regulations.
  • Ability to analyze legal documents for accuracy.

Responsibilities

  • Update minute books (physical and digital).
  • Perform due diligence on minute books and draft resolutions.
  • File documents with regulatory authorities.
  • Update resolutions and declarations annually.
  • Serve as client liaison and relay file status to clients.
  • Communicate with service providers and court officials.
  • Conduct corporate research and prepare forms for registrations.
  • Prepare documents for operations, reorganizations, and corporate changes.
  • Draft resolutions and reports as required.
  • Handle additional duties as needed.

Guided by its desire for excellence, this law firm is looking for a paralegal to join its corporate services team, who stands out for their dynamism, strategic sense and determination to provide an exceptional experience for clients and other members of the firm.

In collaboration with lawyers, the incumbent will provide support to lawyers in their practice and perform a variety of tasks related to corporate law. This position receives little guidance and direction; tasks must be performed independently. This position is permanent and full-time.

RESPONSIBILITIES
  • Update physical and virtual minute books.
  • Conduct due diligence on minute books and write corrective reports and resolutions.
  • Ensure the filing of documents with regulatory authorities.
  • Perform annual updates of resolutions, reports and declarations and other continuous disclosure documents.
  • Act as a client liaison to obtain information, ensure clients are aware of the status of their file, and respond to any questions or concerns the client has within delegated authority.
  • Communicate directly with service providers and court officials regarding the client's file.
  • Conduct various corporate research and prepare forms required for extra-provincial registrations.
  • Prepare documents for operations and reorganizations.
  • Assist in the preparation of documents related to the incorporation, amendment of the articles of association, amalgamation, continuance and dissolution of the companies.
  • Draft various resolutions as required.
  • Draft various reports as required.
  • Any other duties as required.
QUALIFICATIONS
  • 7 years in a similar position.
  • Diploma of Collegial Studies (DEC) in paralegal technology.
  • Bilingualism French/English required.
  • Ability to communicate effectively with other members of the firm, combined with the ability to respond to clients' needs in a professional and courteous manner.
  • Ability to work independently, as well as within a team.
  • Ability to conduct legal research.
  • Knowledge of relevant and current government laws and regulations.
  • Ability to analyze legal documents for accuracy.
  • Ability to prioritize and reprioritize as needed.
  • Ability to manage stress professionally.
  • Knowledge of the Microsoft Office suite.
  • Knowledge of Athennian software is an asset.
